    Nonprofit works to play by the rules

    Soccer organization leaders say they now have financial controls

    Officials from Denton’s local nonprofit youth soccer organization are working to remain in compliance with tax laws and procedures concerning its status as a tax-exempt nonprofit.
    Denton Soccer Association has had some problems in recent years due to a lack of proper financial controls and proper tax form filings, according to Kevin Stout, the association’s treasurer. Those problems resulted the loss of its nonprofit status, but current members of the board insist things have been fixed and the organization is running smoothly again.

    “I was elected in May. I was new to the board at that time, [and] when I walked in I had no idea what issues there were,” Stout said. “I know that there was concern that there were unaccounted funds.”

    One issue was clear at that time: The Internal Revenue Service had revoked DSA’s status as a 501(c)(3) tax-exempt company.

    Federal tax exemption for a nonprofit organization is automatically revoked for failure to file a Form 990 for three consecutive years, according to the IRS. Form 990 is a nonprofit’s annual tax return. In exchange for tax-exempt status, nonprofits must make their annual 990 open to the public for inspection.

    According to IRS documents, DSA’s status was revoked Jan. 14, 2014.
    Denton soccer officials received a letter dated Sept. 3 of this year that stated DSA’s nonprofit status was reinstated. According to IRS officials, there is a Form 990 on file dated August 2014.

    DSA officials have not provided the Denton Record-Chronicle with a requested copy of their most recent filed Form 990.

    According to the compliance guide for 501(c)(3) public charities, “a public charity must make available for public inspection its annual information return, Form 990 series, with schedules, attachments, and supporting documents filed with the IRS.”


    According to the DSA constitution, the primary purpose of the organization is to foster and advance the sport of soccer for young persons under 19 years of age to promote sportsmanship, honesty, loyalty and courage through organized athletic competition, and to educate participants in the North Texas State Soccer Association and the United States Youth Soccer Association.

    Earlier this year, DSA board members had concerns over possible mismanagement of funds. After discussing them as a board, members took the issues to the North Texas State Soccer Association to review. According to its mission statement, the state association exists to promote, foster and advance the cause of soccer for youth and adults within its territory. The state association is to educate, provide administrative service, promote and stimulate interest in the game.

    The review did not find anything unusual or missing, according to David Messersmith, executive director of the Frisco-based NTSSA.

    “They did find that [the DSA] did not have some controls in place to account for the cash transactions,” he said. “[We] suggested to that board that they might want to consider getting a treasurer who was an accountant by trade or CPA to look at their statements on a regular basis.”

    But, according to Messersmith, all the state agency can do is offer advice.
    “We’re a parent organization only in the aspect that local associations register their players with us,” he said. “Each one is a separate 501(c)(3) organization responsible for its own activity. We don’t have any oversight over how they run their business — they can take our advice or not.”


    Ashley Holt, current vice president of the DSA board, acknowledged there had been mismanagement.

    “We definitely want the record set straight,” she said. “No one bought any Gucci bags or anything like that, and we have tried to fix the mismanagement so there is no more missing money.”

    But Melissa Vardis, a former DSA board vice president, says otherwise.
    Vardis was removed from her elected position and booted from the organization in October. She filed a report with the Denton Police Department on Nov. 14, alleging that in excess of $100,000 in DSA funds remain unaccounted for.

    Officer Ryan Grelle, a Denton police spokesman, said there was not suitable evidence to investigate wrongdoing.

    Vardis said she wants to hold the DSA’s board and staff accountable for the problems, which go back several years. She said the organization did not file the required Form 990s with the IRS for the years 2011-14.

    Stout was surprised by Vardis’ decision to file a police report because she was no longer on the DSA board.

    “The very people making the complaint sat there for a year and didn’t do anything,” Stout said. “If you saw these things, why didn’t you fix them?”

    Vardis has claimed that she has financial records indicating money management issues, but Stout said he doubts Vardis possesses accurate financial data about DSA.

    “The data is the same data they had. It’s no different than what he submitted to the CPA to get our 2014 taxes done,” Vardis replied. “The validity is it came straight from the books he and [other staff] looked at.”

    Nonetheless, Vardis said she has filed a 25-page formal complaint about the DSA operations to the North Texas State Soccer Association.

    “Denton needs a soccer association that can be run with transparency — that’s what it boils down to,” she said.

    Stout said there is no vast conspiracy to how the DSA is run, in times of financial troubles or now.

    “You had a group of people in 2012 to 2014 trying to do the best they could,” Stout said. “And there was room for improvement, and those improvements have been made.”

    North Texas State Soccer Association (501 c 3 over Garland Soccer Association) says:
    2.2.6 Jurisdiction
    This Association shall have jurisdiction over all Member Associations’ administrators, referees, coaches, assistant coaches, managers registered players and teams affiliated with it. Each Member Association shall retain its own autonomy, but will adhere to its Bylaws and Rules and Regulations and will comply with the authority of the (North Texas State Soccer) Association. If the Association is presented sufficient evidence that a Member Association is not adhering to its Bylaws and Rules and Regulations, the Association may form a committee to investigate the allegations and make recommendations to the Executive Committee to correct the infraction(s). If gross misuse of funds, misapplication of Bylaws, or misapplication of rules and regulations is discovered, the Member Association shall be declared not in good standing and given sixty (60) days to correct the situation, or the (North Texas State Soccer) Association may take more immediate action if deemed necessary by the Executive Committee.

    IMPORTANT MESSAGE!!! We have had the office open for Spring 2016 registration the last 3 weeks, and have had only two folks come in to register.     North Texas State Soccer's failure to provide education, leadership and proper oversight is going to really show is the plummeting numbers in some local associations that are clearly in crisis. I have heard that Denton Soccer like Garland was very large and had around 4000 players. Now, they are rumored to have around 900. No doubt Garland will be close behind in the record setting losses.

    Denton Soccer is a failure to the community it was set up to serve. Backhanded, dishonest, individuals who have their own agendas believe they own the non-profit org.

    2. Sponsorship activity is difficult to obtain, businesses do not want their money lost in a black hole!

    NTSSA has numerous complaints (Formal!) lodged against individuals yet NOTHING is done!

    What does it take to get people to stand up and force these entities to comply and do their job?

    What is absurd about Treasurer Stout's remarks....

    June 2015 EMAIL Letter (3 pages) outlining the Theft and the certainty that it goes beyond 2012!

    Multitude of emails between the DSA Executive Board and NTSSA from Each DSA Board member ADMITTING to the knowledge of the Theft in excess of $30,000 ($30K!)

    Inside those emails is the outline POA that was ignored and ultimately WIPED away by Stout in a Motion to ZERO out all accounts prior to March 2015 and close the books.....

    BUT OCTOBER 2015 Stout wants to make a motion to "reimburse a $93,000 donation that somehow miraculously turned into a Loan"...


    I bet the other businesses who sponsored/donated would like their LOANS to be repaid now also ! Since they were lied to about sponsoring/donating to a "FRAUDULENT 501c3 Business"



    YET! Taxes STILL have to be filed for 2012 - 2015..... 990 status was revoked for 2012-September 2015 (SO, what does the companies who sponsored/donated to a "FRAUDULENT 501c3 business" during that time do?

    Plus hundreds of other serious legal questions to be asked!

    A Denton man and former league soccer coach has been released on bail, charged with six counts of sexual assault after an investigation into his relationship with a 16-year-old member of his soccer team.

    Christopher James Jackway, 42, is free on $150,000 bail. He could not be reached for comment.
    According to an affidavit used to secure an arrest warrant, the girl's mother contacted police in May with her suspicions, but the girl would not talk to police.
    On Sept. 1, the girl told a school employee of a sexual relationship with Jackway, ac*cording to the court documents, and she gave a statement to Denton police Sept. 6.
    Jackway was relieved of his duties as a coach in the Denton Soccer Association in May, arrested in September and indicted in November. He posted bail Dec. 21....

    They did a cursory review of VERY LIMITED financial data that EXCLUDED CASH RECIEPTS/RECONCILIATIONS and was informed throughout the WHOLE 2 hour meeting that a $93,000 worth of deposits from DSA treasuer PERSONAL account as donations "to help pay the bills" TURNED into a LOAN years after the deposits wrre made...... when NTSSA JIM V. Treasurer asked how donations can revert to loans after the fact?

    (**keep in mind that OFFICE PAYROLL EXPENSE for 2012, 2013, 2014 was $30,000 per year. = $90,000 for 3years)

    Office staff replied "the deposits Jane made from her own account amounted to so much that we just turned it into a loan (with a chuckle included)...

    How do you balance each year? Jim asked

    "It balances out every year" staff replied

    How can it balance if Jane had to deposit money from her own acount to pay bills? Was asked

    Office staff reply "it just balances"

    Yet 5 minutes after the meeting concludes an email from Jim V. To NTSSA Chris (office mgr NTSSA) states nothing looks wrong?

    And then February & March when the documented proof of CASH missing in EXCESS OF $30,000 makes the recommendation to "clean house & start fresh" = remove anyone who handled the cash remove them...

      Many of you may have received correspondence from, or read blog entries made by, an ex-Executive Board member. The libelous and defamatory attacks that she has launched against DSA are most unfortunate.

      To date our board has chosen not to make a response.       Ms. Vardas continues to allege that there has been a vast conspiracy afoot within DSA to cover up missing funds. She quotes e-mails from individuals sent out in May of 2015 in which two board members, having reviewed files provided by Ms. Vardas, felt that there was a problem, and reported their concerns to other board members via e-mail (certainly something they wouldn't have done if a cover up was planned). Those individuals conducted an intensive review of the records, and each time that the numbers provided by Ms. Vardas were questioned she provided a new spreadsheet with new numbers. Finally, after a review by a CPA and by the North Texas State Soccer Association, it was concluded that there had been no misappropriation of funds. There had been poor management in collecting all registration money that was due, and that certainly resulted in a loss of income to DSA. This was all then reported, in an open letter posted on the website, on our FB page, and sent to members via e-mail. Clearly with that done there was no conspiracy or cover-up. While Ms. Vardas is quick to provide a sampling of emails from board members who were less than a month into their term of office, she certainly doesn't appear to have the same sense of urgency in providing the reader with e-mails from those same individuals in which she was told that the numbers she was providing didn't make any sense; that she had removed and manipulated sensitive financial records making them virtually worthless in any future investigation; and, that she was told after a report had been made to the DSA membership about the results of the inquiry that she needed to put a stop to her "witch hunt" against former board members and office staff.

      Ms. Vardas would not give up trying to go after a number of individuals whom she harbored ill feelings towards. In fact, the tempo of her obsession about "getting" these individuals rose to a level where the board had no choice but to officially intervene and instruct her to focus on the position for which she was elected.

      We would not state in a public forum the reasons that a board member was removed, unless if for some reason that dealt with the direct safety and welfare of the children. And, we are not going to change that position at this time. We did not disclose the many reasons for removal out of respect for Ms. Vardas' privacy. And, even though she has chosen to list, item by item, the reason for her removal on several social media sites, we are not going to re-post those details. While privacy, by her own decisions, no longer may be an issue, we submit that the action taken was both proper and necessary and that rehashing them again would be a waste of everyone's time.

      Ms. Vardas has also chosen to put out there a variety of information about registrations statistics, registration fees, the ability of other club's teams to use our fields, etc. Almost everything that she writes, when you are able to track her thought process, is false. Rather than attempt to dispute each item, we would ask that if you have questions please contact us directly and one of our board members will be glad to respond.

      We would ask one thing of everyone who has read, or may read, her many, many pages of rambling text, to consider these questions.

      Why is she doing this? She claims a conspiracy; however, the allegations that she makes of misappropriation of funds was investigated by the Denton Police Department (based on a report that she waited to make until after she was removed from the board, and not at any time during the roughly 18 months she was a board member) and the complaint was dismissed.

      So, what is her motivation? A statement that she has made repeatedly to anyone who would listen may illuminate that motivation. "I am going to destroy Denton Soccer Association." Certainly she is giving that her best effort. But, as I said at the beginning, we simply don't have the time or interest to engage her in her efforts. We have many more important things to concentrate on - hundreds of kids who have signed up to play soccer in the spring.

      As I said, the board members will be glad to address any specific concerns that you may have that have to do with the operation of the Denton Soccer Association. Apart from that, we are preparing for what we believe is going to be a very fun spring season. We would encourage anyone out there with a desire to volunteer their services to make contact with our office staff at 940-566-2085, or with one of our board members whose e-mail addresses are posted on our website.

      I commented that there was no excuse for not filing returns for years on end and losing their non-profit status. I am now blocked on their Facebook page. Transparency and accountability is a must. The funds and kids are not safe as North Texas does not provide leadership and oversight.

    My posts were removed. I had just posted about the loss of charitable status as it is fact. It was all over the local news, so why don't those lying buffoons admit it publicly. That is also public record as well. It is easily searched on the IRS website. Ridiculous!
