    13 The Pegrams avoided losses of $2,315,375, Choy avoided losses of $75,000, and Ishler realized gains of $368,750. Id. at 1331. The SEC brought a civil action against Adler, Pegram, Choy, and Ishler for violations of § 10(b) and Rule 10b-5. Id. at 1327. After a hung jury, the district court granted judgment as a matter of law to Pegram, Adler and, Choy, and summary judgment to Ishler. Id. at 1331-32. The court concluded that the phone calls raised a “possible reasonable inference” that Pegram received inside information from Adler, but any such inference was rebutted by Pegram’s evidence of a preexisting plan to sell his Comptronix stock. The circumstances related to the other defendants were similar, and the district court made the same determination for each one. Id. at 1331-32. We reversed, concluding that the phone calls and stock sales raised a reasonable inference that Pegram was tipped by Adler, and thus that Pegram possessed nonpublic information. We noted that a credible and innocent explanation for the timing of calls and sales can rebut the inference of possession of information. Id. at 1341. Nevertheless, though Pegram provided “strong evidence” that his plan to sell Comptronix stock predated the alleged tip, and evidence of innocent explanations for the relevant telephone calls, we stated that the jury is not required to believe the defendant’s explanations. “[T]hese fact- 14 intensive issues should be decided by a jury, which is in the position to observe the demeanor of witnesses and make appropriate credibility determinations.” Id. at 1342. Choy’s calls and sales similarly created a reasonable inference, as did Ishler’s. Id. at 1342-43. In Adler the calls/trades pattern repeated twice on one day and once again the next week. In this case there is evidence of one clear call/trade pattern concerning EZ stock (the July 14 call from Ginsburg to Mark followed the next day by his purchase of 3,800 shares), and one concerning Katz stock (the June 16 call from Ginsburg to Mark followed the next day by his purchase of 150,000 shares). The other EZ calls match less well with trades. The July 25 call to Jordan was followed by a purchase by Mark, and the July 28 call to Mark followed with a purchase by Jordan. But because Mark and Jordan admitted discussing EZ throughout that period, the mismatch of calls and trades is not a big problem. The multiple occurrences of the pattern in this case are similar enough to those in Adler. This case does have stronger evidence suggesting that conversations between the parties were more frequent, 2 and that the types of trades made were 2 Between December 1995 and November 1997, 148 calls were placed from phone numbers registered to Ginsburg to phone numbers registered to Mark, and between April 1996 and October 1997 there were 46 calls the other way. Evidence was introduced that some of the calls between those numbers involved family members other than Ginsburg and Mark. 15 not unique,3 and it also features longer spans of time between the conversations and trades. Ginsburg offered evidence of public information about the companies as motivation for Mark’s trading,4 argued that the trades were consistent with prior trading history, and put forward innocent explanations for the calls. The district court commented that “it is plausible that the investments . . . were driven not by tips but rather by public knowledge.” It is also plausible that they were driven by insider information. And it was up to the jury to choose between those competing plausible theories of fact.

    The jury was free to disbelieve Ginsburg’s evidence just as the Adler jury was free to disbelieve what we characterized as the “strong” evidence of a preexisting stock trade plan in Adler. Evidence of the innocent explanations for the calls between the parties in this case and of Mark’s trading habits is not enough to justify overturning the jury’s verdict. If it were otherwise, family members who 3 Mark owned a significant stake in Evergreen and frequently invested in broadcast related stocks. Both Ginsburg and Mark purchased significant blocks of stock in EZ beginning in January 1996. Jordan had never invested in EZ before, but had been in the radio business since the 1960s. Mark made 253 trades in individual stocks between January 1996 and November 1997, 66 of which involved amounts greater than $250,000. Roughly 50% of his portfolio over this period was made up of stock in radio and other media. 4 In the summer of 1996, before Mark bought stock in EZ, EZ’s CFO Ron Peale was quoted in the Dallas Morning News, saying that EZ was constantly having conversations about a possible sale, and that if EZ received the “proverbial offer that can’t be refused” they would take it. From June 25-28, 1996 EZ officers traveled around the country talking to investors and discussing what price they might get upon acquisition. Mark testified he bought shares of Katz in June 1997 due to media reports that Katz was likely to be acquired. 16 regularly traded in a particular stock or type of stock could trade based on insider information with impunity. The district court stated that “[t]he phone records are insufficient to compel an inference that Scott Ginsburg conveyed material, non-public information to Mark,” but that is not the issue. The SEC did not have the burden of putting in evidence that compelled the inference Ginsburg conveyed nonpublic information to Mark. All it was required to do was put in evidence that reasonably permitted that inference. It did that. The call/trade pattern occurrences coupled with the jury’s right to disbelieve the innocent explanations of the calls and trades are enough to support the verdict. 2. Alternative Grounds to Affirm Ginsburg argues that even if sufficient evidence was presented that he tipped Mark and Jordan, the district court’s decision to grant judgment as a matter of law can be affirmed on two independent grounds. Though not reached by the district court, these arguments were presented in Ginsburg’s renewed Rule 50 motion, and they raise legal issues over which we would exercise de novo review, so we may decide them in the first instance. 17

    a. Sufficiency of Evidence that the Information Tipped Was Material and Nonpublic Ginsburg contends that the SEC did not provide sufficient evidence to permit a reasonable jury to find that the information tipped was material and nonpublic, as required by Rule 10b-5. “An omitted fact is material if there is a substantial likelihood a reasonable shareholder would consider it important in deciding how to vote.” TSC Indus., Inc. v. Northway, Inc., 426 U.S. 438, 449, 96 S. Ct. 2126, 2132 (1976). Materiality is proved by showing a “substantial likelihood that the disclosure of the omitted fact would have been viewed by the reasonable investor as having significantly altered the ‘total mix’ of information made available.” Id. The insider information in this case meets the materiality standard. In Basic Inc. v. Levinson, 485 U.S. 224, 238, 108 S. Ct. 978, 987 (1988), the Supreme Court held that preliminary merger talks can be material well before any agreement is reached. The materiality of an uncertain prospective event “depend[s] at any given time upon a balancing of both the indicated probability that the event will occur and the anticipated magnitude of the event in light of the totality of the company activity.” Id. The Court explained that “a factfinder will need to look to indicia of interest in the transaction at the highest corporate levels,” and consider 18 factors such as “board resolutions, instructions to investment bankers, and actual negotiations between principals or their intermediaries.” Id. at 239, 108 S. Ct. at 987. The determination of materiality “requires delicate assessments of the inferences a ‘reasonable shareholder’ would draw from a given set of facts and the significance of those inferences to him, and these assessments are peculiarly ones for the trier of fact.” TSC Indus., Inc., 426 U.S. at 450, 96 S. Ct. at 2133. “In an analogous context, the jury’s unique competence in applying the ‘reasonable man’ standard is thought ordinarily to preclude summary judgment in negligence cases.” Id. at 450 n.12, 96 S. Ct. at 2133 n.12. Alan Box, EZ’s CEO, and Ginsburg discussed a specific share price, and Ginsburg knew both that Evergreen was interested in acquiring EZ and that EZ was talking to other companies. The jury was free to find that a reasonable investor would view Evergreen executives talking to EZ executives about a possible acquisition at the specific price of $50 a share as altering the total mix of information available. A merger is an event of considerable magnitude to an investor, and preliminary merger negotiations constitute concrete steps indicating an increasing possibility of a merger occurring. As for the nonpublic nature of the evidence, the jury heard testimony from Ron Peale, EZ’s CFO, that the talks were confidential. The jury could recognize as material the difference between public 19 information that EZ was having conversations about a possible sale and about potential sale prices, see supra n.4, and nonpublic information about a private meeting between executives and the specific share price they discussed confidentially. As to Katz, Ginsburg was clearly privy to information gleaned under a confidentiality agreement. The jury had before it sufficient evidence to conclude that Ginsburg’s June 16 meeting with Olds indicated to Ginsburg that a deal had to happen fast. The jury could reasonably infer that the information was material and nonpublic.

    b. Sufficiency of Evidence of Substantial Steps under Rule 14e-3 Ginsburg also argues that there was not enough evidence to permit an inference that, at the time of his alleged Katz tip on June 16: (1) substantial steps had been taken to commence a tender offer, as required by Rule14e-3; and (2) Ginsburg knew of the tender offer, as Ginsburg claims is required by Rule 14e-3. Rule 14e-3 prohibits purchase or sale of a company’s stock by “any person who is in possession of material information relating to [a] tender offer” if an “offering person” has taken “a substantial step or steps to commence, or has commenced, a tender offer.” 17 C.F.R. § 240.14e-3(a). Rule 14e-3(d) prevents any insider of the target or acquiring company, or any person in possession of material information 20 relating to a tender offer, from communicating that information to another likely to trade on it, after substantial steps have been taken. The SEC release accompanying Rule 14e-3 states: [S]ubstantial step or steps to commence a tender offer include, but are not limited to, voting on a resolution by the offering person's board of directors relating to the tender offer; the formulation of a plan or proposal to make a tender offer by the offering person or the person(s) acting on behalf of the offering person; or activities which substantially facilitate the tender offer such as: arranging financing for a tender offer; preparing or directing or authorizing the preparation of tender offer materials; or authorizing negotiations, negotiating or entering into agreements with any person to act as a dealer manager, soliciting dealer, forwarding agent or depository in connection with the tender offer. Tender Offers, Exchange Act Release No. 17,120, 20 SEC Docket 1350 n.33 (Sept. 4, 1980). In this case, Katz CEO Tom Olson had sent a letter to Tom Hicks, CEO of the majority shareholder of Chancellor, on February 24, 1997, asking whether Chancellor was interested in acquiring Katz. On M arch 20, Olson, Hicks, Olds, Ginsburg, and others met to discuss the possible acquisition. Hicks was interested in Chancellor acquiring Katz. He appointed a due diligence team, and a confidentiality agreement was signed on April 7. Ginsburg met with Olds on June 16, and Olds told him that Katz was in discussions with other companies and Chancellor needed to act quickly. Testimony at trial indicated that the parties had 21 not settled on a tender offer as the form of the transaction until the last few days before the deal was announced on July 14. These activities do not fall into the specifically enumerated examples of activities described as “substantial steps” in the SEC release. However, the release makes it clear that the examples listed are only that; they are not a complete list of “substantial steps.” Neither this Court nor the Supreme Court has defined “substantial steps,” but other circuits have confronted the issue. In SEC v. Maio, 51 F.3d 623 (7th Cir. 1995), the Seventh Circuit concluded that a meeting between officers of the target and acquiring companies, held after the target had solicited an offer from the acquiring company, which was “much more serious than any previous discussion between the parties,” and which was followed the next day by the onset of the due diligence process, constituted “substantial steps.” Id. at 636. A confidentiality agreement had not yet been entered at the time of the alleged tip in that case. Id. In SEC v. Mayhew, 121 F.3d 44 (2d Cir. 1997), where the merging companies had retained a consulting firm, signed confidentiality agreements, and held meetings between top officials, the Second Circuit concluded that the “substantial steps” requirement was satisfied, despite the fact that the companies had not settled on a tender offer as the form of the merger. Id. at 53.

    22 In this case there was a meeting between executives, which was followed by due diligence procedures, a confidentiality agreement, and by a meeting between Ginsburg and Olds – from which Ginsburg realized that the deal had to go down fast. These activities, which did result in a tender offer, were substantial steps for purposes of Rule 14e-3. Were it otherwise, liability could be avoided by taking care to tip only before the formal steps finalizing the acquisition are completed, leaving a substantial gap between the acquisition of inside information and the regulation of its disbursement. Rule 14e-3, by its terms, does not require that the offender know or have reason to know that the information relates to a tender offer, so long as the information in fact does relate to a tender offer and the offender knows or has reason to know the information is nonpublic and was acquired by a person with the required status. The accompanying SEC release explicitly states that there is no “knows or has reason to know” standard attached to the Rule’s requirement that the information relate to a tender offer. Tender Offers, Exchange Act Release No. 17,120, 20 SEC Docket 1350 (Sept. 4, 1980). We agree with the First Circuit that we should defer to the SEC’s interpretation of its Rule. See SEC v. Sargent, 229 F.3d 68, 78-79 (1st Cir. 2000). Under United States v. O’Hagan, 521 U.S. 642, 673, 117 S. Ct. 2199, 2217 (1997), we owe the judgment of the SEC expressed in 23 its release “more than mere deference or weight.” It follows that Ginsburg’s substantial steps argument fails. B. INJUNCTION Having decided that we should reverse the judgment and reinstate the jury verdict, we come now to the SEC’s contention that the district court abused its discretion in refusing to permanently enjoin Ginsburg from future violations of the Exchange Act. Our review is for an abuse of discretion, which occurs when “the district court has made a clear error of judgment or has applied an incorrect legal standard.” Doe v. Chiles, 136 F.3d 709, 713 (11th Cir. 1998). In order to be entitled to injunctive relief the SEC had to show a reasonable likelihood that Ginsburg would violate the securities laws in the future. SEC v. Carriba Air, Inc., 681 F.2d 1318, 1322 (11th Cir. 1982). The district court cited the proper factors to consider in making this determination: “the egregiousness of the defendant’s actions, the isolated or recurrent nature of the infraction, the degree of scienter involved, the sincerity of the defendant’s assurances against future violations, the defendant’s recognition of the wrongful nature of his conduct, and 24 the likelihood that the defendant’s occupation will present opportunities for future violations.” Id.; SEC v. Blatt, 583 F.2d 1325, 1334 n.29 (5th Cir. 1978). 5 The district court applied the correct legal standard, so the question is whether it made a clear error of judgment in the result it reached applying that standard. We believe it did, because every one of the factors to be considered weighs in favor of enjoining Ginsburg. As CEO of Evergreen, he breached his fiduciary duty to his company and to its shareholders on two separate occasions for the financial gain of his family members. Deliberately tipping material nonpublic information for family members’ financial gain is a bad thing, and doing it twice in a year is doubly so. See Blatt, 583 F.2d at 1334-35 (affirming injunction of a defendant whose conduct encompassed just the type of “knowing and intentional misconduct” § 10(b) was intended to proscribe, where defendant was the “mastermind” behind two violations). It is this type of intentional, knowing conduct, as opposed to more minor, technical violations, for which injunctions are reserved. See id. at 1335 (reversing injunction of defendant whose single violation was relatively minor); accord SEC v. Steadman, 967 F.2d 636, 648 (D.C. Cir. 1992) (considering whether defendant’s violation was “flagrant and deliberate or merely technical in nature”).

    In Bonner v. Prichard, 661 F.2d 1206, 1207 (11th Cir.1981) (en banc), we adopted as binding precedent all decisions of the former Fifth Circuit rendered prior to October 1, 1981. 25 Scienter is a required element of a § 10(b) violation, Adler, 137 F.3d at 1340, and thus the jury, in finding that such a violation occurred, found that Ginsburg acted with scienter. Though Ginsburg assured the district court he would not in the future “engage in any actions that will raise suspicion of illegal conduct,” such promises to toe the line are “by no means dispositive.” See Carriba Air, Inc., 681 F.2d at 1322 (affirming district court’s injunction of defendant against future violation of securities laws despite defendant’s assertions he would cease his wrongful conduct). And they are of very little worth at all where, as here, the defendant denies having done anything at all improper to begin with. Promising to stop doing wrong while denying any wrongdoing is the wrong way to establish that wrongdoing will not reoccur. Ginsburg is currently chairman of the board of a public company, and in this position he has access to material nonpublic information, providing him with future opportunities to violate the securities laws. See Blatt, 583 F.2d at 1335 (affirming injunction of a defendant guilty of only one “reprehensible fraud” where his continuing investment opportunities strengthened the inference from his past conduct that he was likely to commit future violations). In short, each Carriba factor cuts against Ginsburg, establishing a reasonable likelihood he will violate securities laws again. Cf. Carriba Air, Inc., 681 F.2d at 26 1322 (affirming district court’s injunction of defendant where virtually all factors cut against defendant); Commodity Futures Trading Comm’n v. Sidoti, 178 F.3d 1132, 1137 (11th Cir. 1999) (affirming district court’s injunction against future violation of Commodity Exchange Act given likelihood of future violation). If no injunction is to be entered where every factor weighs in favor of an injunction, then the factors would be meaningless. They are not, and it was a clear error of judgment not to enjoin Ginsburg to refrain from violating the securities laws in the future. IV. CONCLUSION The district court’s grant of judgment as a matter of law is REVERSED and the case is REMANDED with instructions that the court reinstate the civil penalty of $1,000,000, and enjoin Scott Ginsburg from future violations of the securities laws and regulations. 27 EDMONDSON, Chief Judge, dissenting in part: I think it is useful from time to time to repeat something that Chief Justice Marshall wrote: It is a maxim not to be disregarded, that general expressions, in every opinion, are to be taken in connection with the case in which those expressions are used. . . . The reason of this maxim is obvious. The question actually before the court is investigated with care, and considered in its full extent. Other principles which may serve to illustrate it, are considered in their relation to the case decided, but their possible bearing on all other cases is seldom completely investigated. Cohens v. Virginia, 19 U.S. (6 Wheat.) 264, 399-400 (1821). A case is no precedent for a proposition that was not in the mind of the court when the case was decided; given Burrell’s facts, no reason exists to believe the court in Burrell had insider-trading in its mind when it decided Burrell. So, I agree that the district court erred in extending what it read as the holding in Burrell (an employment case) to a materially different kind of case (an insider-trading case) and, then, in concluding that in some way Burrell trumped our Adler decision which was an insider-trading precedent. I concur in today’s judgment, except for reversing the denial of the injunction. For the injunction, the district court applied the correct legal standard and had the important advantage over us of having seen the witnesses and parties firsthand as they testified and made representations to the district court. The grant 28 or denial of injunctive relief “rests within the sound discretion of the trial court and will not be disturbed unless there has been a clear abuse of it.” SEC v. Blatt, 583 F.2d 1325, 1334 (5th Cir. 1978). * Especially considering that no finding was made that Scott Ginsburg was personally enriched as a result of the occurrences underlying this case and considering his assurance to the court that he would avoid similar conduct in the future, I cannot say that the district court abused its discretion in denying the injunction. Therefore, I would affirm the denial of the injunction (although if the district court had granted an injunction, I would likely have voted to affirm that decision). * In Blatt, the Court noted that “[e]xperience has shown that an injunction . . . often is much more than [a] ‘mild prophylactic’ . . . .” Id. at 1334 n.28 (quoting SEC v. Commonwealth Chem. Secs., Inc., 574 F.2d 90, 99 (2d Cir. 1978). The collateral consequences of these injunctions can be severe. And Scott Ginsberg says the consequences will be severe for him, causing him to lose his employment as an officer of a public company.

    Weinzierl is a liar and delusional nut to boot. He is again the president of what??? TheChristianMentor.com only appears in his dishonest Vemma solicitations. He was one of tens of thousands of warm marks on autoship pushing an overpriced and overhyped supplement via MLM. The sales reps were pretty much the only customers for that crap. It certainly wasn't a long term 5-10 year plan for him. He dumped it less than 2 years later after admitting in his bankruptcy creditor's meeting that he was making very little.

    He has been in a dozen dodgy MLMs in the last decade. Even his lying mouth, slick ways and MBA together haven't garnered him success in MLM. He joined Vemma when Advantage Conferences, which he had joined in February 2005, started its steep plunge into the red and then chapter 7 bankruptcy. And, lest we forget, he was much more than an independent rep with Advantage Conferences. He was making decisions with scammer Tim Darnell behind the scenes. Though his family members got $7,000.00 refunds (out of the $10,000.00 paid for a spot in the pyramid,) Jack was instrumental in denying refunds to other reps who had lost their life savings in that pyramid scam.

    Yikes! Please don't drink Jack's MLM Koolaid! Wouldn't want to have delusions of being a president!!!

    Welcome to our Thursday Millionaire Mindset call. My name is Jack Weinzierl and I am a representative in the field building my Advantage Conference business just like you….. one conference at a time.

    This is the day that the Lord has made, I will rejoice and be glad in it. Praise God and I am honored to be sharing on today's Millionaire Mindset call.



    I really appreciate the transparency and direct approach of Tim Darnell and the culture that he has reinforced within Advantage Conferences.



    Let’s open this call properly in prayer.



    Dear Heavenly Father, I thank You that we do not have a spirit of fear, but that we have a spirit of power, a spirit of love and a spirit of a sound, strong, firm, safe, stable and disciplined mind. Father, I thank You that the peace of God, which surpasses all knowledge, is guarding my heart and mind. I command my mind to dwell only on that which is true, honorable, pure, lovely, excellent and worthy of praise. Help us to transform our hearts and minds today.

    Father, we ask for supernatural favor and wisdom for every person on this call today. We thank you for all of your provision and encouragement as we build a business that honors and brings people to you, in Jesus name we pray, Amen.



    I have a deal for you today as well--

    Later today, I will provide detailed notes for everyone through the corporate office, and your part of the deal is to be ready to receive today. Leave any of your baggage and preconceptions behind, open your ears to not just hear, but to listen, and if something does not seemed aligned with the Word of God, then please check it out and spit out the bones.

    I am here today to challenge you, challenge myself, and make you get a little uncomfortable as we all know that is when we grow. I am also here to reinforce the Good News.



    Once again, I encourage you to not be a passive receiver of information and feel like you are working the business. Take notes and take this knowledge and take action in YOUR business.

    I have a lot of information to share today so we are going to run and not walk through this call. Get your running shoes on. This is not the race, but a training run so you can run your race more effectively.



    OK, what are we going to cover today?



    1) We are going to cover perspective, focus and sacrifice with Your Advantage Conferences Enterprise. Did Jack just say sacrifice? You mean there is a price to pay to build a multi-million dollar business, yes there is, but there is good news.

    2) We are going to cover what is near and dear to me and what Advantage Conferences is all about—transformation and renewing of the mind. The world tries to change us from the outside in—telling us what we should drive, where we should vacation, what we should look like, what religious hoops we should jump through, but we know it is about changing from the inside out through the Word of God and a personal relationship with our Lord and Savior.

    3) And lastly, we are going to cover protection and an awesome promise from God that “NO WEAPON FORMED AGAINST YOU SHALL PROSPER!"

    What a promise from God in Isaiah 54:17! And cover how this promise becomes real in our lives.





    I sure trust that you are excited and passionate about your AC business? If you are not, you may not be in the right place or it is time to get real with yourself and your commitment to YOUR business. Do you see yourself as a business owner, as an entrepreneur? Do you view your business as a marketplace ministry? Are you passionate about anything? I know when I got started with AC 14 months ago; I was not that passionate about anything. Sure I loved my wife and children, but I did not have the burning purpose that I have now. I was lukewarm in many areas of my life including sharing my faith. And what a difference a year made. I now wonder why and how I ever settled in to the mediocrity and lack of purpose that I had experienced for most of my adult life.



    I am a Christian entrepreneur and I am passionate about impacting lives today and for eternity! How about you?

    It is my responsibility to leave an inheritance for my children’s children and I will through Advantage Conferences. I also have a responsibility to serve and to respond to needs where I am led to respond.

    OK, I am excited about our business. I am passionate about being a conduit to change lives.



    I am the head and not the tail, above and not beneath and we were designed to succeed and I choose to walk toward my God given right. I am confident and not arrogant. And the prize for the race is not always given to the quick, but to those who run the entire race and persevere. You must get out of your comfort zone to grow.



    And confidence without arrogance is something that every one of the Christian Millionaires possessed from the last 3 Millionaire Mindset Conferences that I have attended.



    Your Advantage Conferences business is no one else’s business but yours and God’s. At the end of the day, you can make all sorts of excuses of why this or any business will not work for you and that is your choice. It’s a bad choice, but one most people or MP’s as Tim calls them, make.

    You can make excuses or make money, but you cannot make both.

    It pains me to see anyone who literally quits on their dreams. When I say it pains me, I mean it breaks my heart. These aren’t even folks who quit on the 1 yard line as Pastor Joe shared in Orlando. They are serial quitters. Don’t let anyone steal your dream and if you do nothing to build the business right now, focus on improving your Mindset first. For some people, that is their pre-prescription for success. Work on YOU first. And none of us are finished works. We are all growing and your business and income will grow as you grow and transform from the inside out.



    Never let anyone else determine your reality and you MUST do today what others won’t, to have tomorrow what others don’t. Yes, I used the word MUST. It is critical to sow the seed to have a harvest in your business.



    I encourage you to recognize that you had a peace about starting your AC business, for many on the call today, God directed your steps here, and you have to determine if you are willing to pay the price of delayed gratification, coupled with investments of time and money to build this over the next 10 years with us. If you are thinking in terms of weeks or months, you are thinking to short and too small.

    We each have the potential to build a multi-million dollar business and carry yourself that way, even before the checks started. If you invest $1.5 million in a McDonald’s franchise, guess what, you are committed and you will do whatever it takes to make your business work. Well, our Advantage Conferences business is our first year netted close to what an average McDonald’s netted. I am not managing 100 employees, I did not have a large capital commitment and I have created time freedom. I now have the ability to serve our ministry, coach soccer, and go to Bible school is that is where God leads me.



    I shared some of this on our team call yesterday, but it is important to reinforce on this Mindset call today.

    Before individuals say—well Jack was well financed, was the president of his previous company, has his MBA—which means nothing in this business by the way, he doesn’t know what $10,000 means to me. OK, time for a reality check and for transparency.

    We keep it real in this business and time to dispel any preconceived notions you may have right now. I resigned from a six figure position as the president of a company 15 months ago. I did so with a $500,000 mortgage—yikes is right, having invested approximately $100,000 in MLMs and trying my best to build those over the previous 4 years losing all of that money, I had lost our life savings a couple years prior to that on a software stock--$90,000 and my wife home schools and stays home with our kids. I was looking at a $14,000 property tax bill, had no insurance except for Cobra at $1200 a month and then I found AC less than 2 days later. Failure was not an option. Now God had not brought those challenges on us as we do a pretty good job of messing things up on our own when our priorities are out of whack, but we did turn it over to Him in prayer and He is turned it around and I grew through the experience.

    I am not a fan of debt except for appreciable assets like homes, but I started as an MMC-IV with a Visa check($10,000.00)and invested $8,000 in marketing to build my business in month one—also on my Visa. Now, do I recommend that? NOT at all, but I was at a point of DISGUST about our finances, I knew we had been faithful in our tithes and giving and we had a peace about building an Advantage Conferences business.

    We did not have income testimonials and when I started, we did not even have our product in place with the first MMC coming in mid-April. Now if you are already comparing your excuses while I am sharing, then you are missing the point altogether.



    So please do not focus on the limited time or finances that you have and so on. Please stop spending your energies on making excuses. Almost everyone I have ever met can share their own reasons for NOT building their business. Focus on your why for building your business, not on your excuses. In fact, get disgusted with where you are at right now.



    By the way, you can shut me off today and that is your prerogative, but if you are truly looking to be mentored, you need to take good medicine and your mentor must be someone who can say no to you. True mentors will tell you what you need to hear and not what you want to hear. Without correct navigation, you will eventually crash.





    Are you conforming or are you transforming?



    You have to be transformed by the inside out. My brother recently used a powerful illustration about the difference between conformity and transformation. He shared that a Nerf ball is conformed when pressure is applied, but it bounces right back when that pressure is gone. It truly was not changed. This applies to mindset as well as we need to be transformed from the inside out by the word so we do not go back to our original faith. So think PlayDoh or clay vs. a Nerf ball.



    You can conform all of your life and not walk in victory, because you have not transformed and you have not renewed your mind. We need to be changed and that is what so excites me about Advantage Conferences as that is what we are about. We are not some motivational program that is short-lived with some new age mumbo jumbo, we are based in truth and focus is on transformation. The world and religion will try to conform you, but a personal relationship with the Lord and getting in the Word will transform you. Now, Tim Darnell, neither your mentor, nor anyone else can transform you. They can share the Word, they can share who you are as a child of God, they can tell you about God’s promises for your life, but only you yourself can transform your mindset.



    We were born (or I should say born again) to win, BUT we must choose to win!



    It involves you seeing yourself as God sees you and recognizing that your inheritance of the abundant life is here and now. Working God’s system begins with you developing a prosperous image inside yourself, according to His Word.



    Abundance, or prosperity, is so much more than money. God’s idea of being rich is having more than enough in every area of your life—so much you can be a blessing and give generously to others.



    Do what needs to be done—Once again, you must be willing to do today what others won't to have tomorrow what other's don't.





    The Apostle John wrote, “Beloved, I wish above all things that thou mayest

    prosper and be in health, even as thy soul prospereth” (3 John 2). God’s way of

    prospering His people is from the inside out. If you’re living below your privileges, if it seems like you’re going around the same mountain and not making any progress, don’t complain or start blaming. Get into the Word of God, allow it to change you on the inside and experience God’s best for your life.



    The change begins with you.



    The last section has to do with a powerful promise that has everything to do with being a Christian entrepreneur.

    “NO WEAPON FORMED AGAINST YOU SHALL PROSPER!"

    What a promise from God in Isaiah 54:17!

    This promise is more real today than it has ever been so you can walk in God’s divine protection plan in these last days.

    The Bible says that the devil comes to steal, kill, and destroy (John 10:10). And while he continues to try to bring death and destruction to your life and mine, he has no power to succeed!

    Jesus says to you and I in Luke 10:19, “Behold, I give you the authority to trample on serpents and scorpions and over all the power of the enemy, and NOTHING SHALL BY ANY MEANS HURT YOU.”

    NOTHING means NOTHING. It is similar to the verse in Isaiah 54, where He says, “NO weapon formed against you shall prosper.” It is all-inclusive and definite! It covers every aspect of our lives: whether it be weapons of terrorism, weapons of fear, weapons of sickness and disease, weapons of debt, weapons of emotional pressure – NO weapon can prosper!

    And here is how this promise becomes real in our lives.

    1. First, we must understand God’s previous covenant.

    In Exodus 12 the children of Israel are commanded by God to kill a lamb and put the blood over the doorposts of their houses so that when the plague of death came to strike down the first born of each house, it would PASS OVER them. “…And when I see the blood, I will pass over you; and the plague shall not be on you to destroy you…” (Exodus 12:13). God honored the blood of a lamb. He brought divine protection to the children of Israel through the blood of the PASSOVER lamb. This is understood as a blood covenant.

    2. Next, we need to understand God’s new covenant, which applies to us.

    In I Corinthians 5:7, Jesus Christ is called “our Passover lamb.” So He is to us what the Passover lamb of Exodus was to the children of Israel: divine protection and deliverance from plagues, destruction, and bondage.

    3. Then, we need to understand the difference between these Passover lambs, or these covenants.

    In Hebrews 8:6, it says that Jesus has obtained a “more excellent ministry, inasmuch as He is also Mediator of a BETTER COVENANT, which was established on BETTER PROMISES.”

    Notice, the differences here between the Old Covenant, which was very powerful and effective, versus the New Covenant:

    a. The New Covenant is MORE EXCELLENT.
    b. It is a BETTER COVENANT.
    c. It has BETTER PROMISES.



    This is a BETTER covenant, with BETTER Promises, established by BETTER blood; therefore, you and I can expect BETTER results!

    The children of Israel enjoyed supernatural protection from the enemies of death and terror. They enjoyed supernatural deliverance from the most ferocious army in the world, the Egyptians. The children of Israel enjoyed the plundering of the Egyptian’s wealth, which was transferred into the hands of Israel. WE CAN ENJOY ALL OF THESE THINGS, and THEN SOME.

    Now, how do we walk in this BETTER COVENANT with BETTER PROMISES?

    1. We must declare it with our mouths. Romans 10:10 says, “…with the mouth confession is made unto salvation” (deliverance, wholeness, protection). We must say that the blood of Jesus protects us, delivers us, and prospers us.

    2. We must know that this covenant went into effect the day Jesus died on the cross.

    3. We must come boldly to the throne of God’s grace and make our request known to Him. (Hebrews 10:19).

    4. We must hold fast our confession of faith even when things don’t look good. “Let us hold fast the confession of our hope without wavering; for He who promised is faithful” (Hebrews 10:23). WOW, this is critical in our entrepreneurial walk. How many know that there are challenges and times in our walk where things may not look good?

    5. We must remember this covenant by celebrating communion on a regular basis – To reinforce hat we are under God’s divine protection through the blood of Jesus.





    If you are on this call today and you have bitterness, unforgiveness, or are tired of trying to jump through religious hoops, please note that it is not about jumping through religious hoops, it is about a real and personal relationship with the Lord. God sent His Son not to condemn us, but to transform and deliver us.



    If you have not made Jesus the Lord of your life, I pray that you do so right now. If you believe that Jesus died for you and rose from the dead and confess him as your Lord, you are saved. I was led to give this opportunity today as this is the most important decision we each can make.



    Please pray with me. I thank you that you sent your Son to die for me, that He rose from the dead and I ask you Jesus to be Lord of my life, change me from the inside out, transform me, I am a new creature in Christ Jesus, amen.

I don't know, but I have been told by one of my sources Jack may have solicited people from School Health Corporation who lost a lot of money in that deal.       Look at how the Japanese identified the opportunity in the automotive industry. They imitated and innovated on an existing proven demand and are now the market leaders.
      They did not try and create a new market for an unproven idea. They came, copied and improved on an existing concept.
      Many of the most successful business men in the world have used already established formula for making money and just done it slightly better or added a new twist. Adding your own ”flavor” and thereby creating your own unique business will still be fun.
      Banks are much more likely to look favorably at a proven business model than to back a new and unproven idea. This is probably the reason why when you buy a franchise you can get funding of up to 70%.
      Have a look at the successful businesses operating in your local area that are already making money and see how you could do it better. Perhaps by choosing a better location, you might attract many of their existing customers to your business.
      Maybe you can offer a higher level of service and charge higher prices thereby attracting the high value customers. Brian Ongaro from Boardwalk Auto Group in North Dallas recommends truly differentiating your service offering to all of your customers.
      It is much more difficult to launch a brand new concept and create a new market than to create a novel way of supplying existing demand and just improve on the basic delivery.

    SBM, I have read part of this and found it disgusting that our courts allow these people to be free and continue with their wicked ways. His resume reads a little like Donald Trump, did he takes lessons I wonder?

    People who get hooked on this lavish lifestyle never seem to get enough but someday it will catch up with them. One of the reasons you hear of so many suicides when the stink hits the fan.

    Many evangelists and big time church ministries fall into this category. It must make Jesus weep to see these kind of people preaching to His people just so they can become richer and live that lifestyle.

    I swear this was one of those stories I thought would be cool to write. Then I realized it was about as cool as "Bazooka Joe Raps." We are normally much more prompt in reporting crooks getting their comeuppance, but it still gives us a lot of pleasure to report that a federal grand jury in Phoenix has handed down a 33-count indictment against nine people, including Dallas-based CBS Radio executive vice president Brian Ongaro. Ongaro snagged about $750,000 for his part in an elaborate scheme that involved getting people to invest in CORF Licensing Services (CLS), which issued licenses to investors establishing outpatient rehabilitation and massage therapy centers. The charges are for conspiracy, mail fraud, and money laundering. Our three faves. Don't executives go to business schools primarily to be well-versed in hiding funds gained illegally? Isn't it safer to just go with anonymously calling the elderly to ask them for their credit card and social security numbers?

    I know what you're thinking: "This TMT douche won't be able to explain it as concisely as a FBI Special Agent in Charge could," right? FBISAiC John Lewis outlines the grift for us simpletons!

    "The defendants' scheme to defraud was ongoing, and took in 40 million dollars. They solicited new licensees through ads, the internet, seminars, statements, and use of paid referrals, knowingly and intentionally misrepresenting the quality of their company, CLS's services, by understating the costs and risks associated with establishing a CORF, including patient activity, potential income and profit." He mentioned "the internet" in there somewhere. So this is basically like The Net?

    Being the professional journalist that I am, I asked CBS affiliate KOCK's morning show host DJ Danny "the Panda" Anderson for a comment. He shook his head and said, "Gahd dammit! When are those high-rollin' galouts gonna wake up and stop their crazy shenanigans? Can't e'ryone just have fun and drink some Busch and look at girls in bikinis for kicks? Wait until my partner "Rollplaying Ron" here's about this one, hyuk, hyuk... "

    "Digger" McQuade, one half of the KSTD's "Digger" McQuade & The Amateur Erotic Fanfic Cover Illustrator Morning Drive-Time Bonanza, had this to say: "Well, I don’t know what Freddy Fleaballs [he means FBI Special Agent Lewis] was talking about, but sakes alive man! We still haven't got a 'caller to holler' for tickets to the "Nephews of Blue-Collar Comedians" Boatcruise we're puttin' on down at the lake [Sanderson's Quarry]!"

    The only thing left to ask is, "Why is this getting written about in TMT's news section?" Well, it does have a tangential music/radio connection. You also got to read a story with the word "galouts" in it. And it's fun to hear about sleazebags getting their just desserts, isn't it? You know, that actually wasn't so painful to sit through and write. Maybe if I was wrong about this story, I'm wrong about the new-fangled Bazooka Joe comics too?

    Before going with Boardwalk, check out the advertising of the lying fraud of a marketing manager and ask yourself if you want to deal with this guy. 98% of the Christians he conned into this deal in the long gone videos lost money. Many lost thousands and thousands of dollars. There is a reason this brilliant advertising has been removed. To bad things live forever on the internet and Jack couldn't make them disappear completely. Jack, who was using the following trial exhibits as ads for his Advantage Conferences scam which sued the Dallas Better Business Bureau and lost being adjudicated a pyramid scheme, was claiming a million + in earnings with him was what the scam was all about whilst he careened into chapter 7 bankruptcy. Who would trust any ad by this guy??? If one is wanting to be blessed with financial ruin Jack can certainly make that happen.

    This thread! The scuzzbag is still at Boardwalk. Glad folks will come here to get the facts first. I know about all the victims from his schemes that lost thousands of dollars and went hungry, lost homes, had their retirement savings wiped out and worse. I hear he is cheerfully posting away on Facebook. The demons and guilt should forever haunt him. His victims are still suffering and I believe he will know the fires of hell for what he has done.

    His trips to Google headquarters sure aren't accomplishing anything! He can't get his lies and BS to the top of Google. The truth wins out every time!

    Weeds in our lives…

    Weeds in our lives (if left unchecked) can crowd out our joy. Although it is best to treat the weeds before they take root… when they appear, we have to root them out. We can’t just cut them down (although that can put on a good appearance for a short amount of time), we must rip them out and plant more good seed to fill that void.
    The folks at Boardwalk might want to check out who they are recommending before they have their reputations ruined by associating themselves with a known scammer and liar. Weinzierl's sordid reputation for fraudulent business promotion could terribly harm Boardwalk Auto Group!
