    As is normal for me I want to take time to update you our loyal fans. First, thank you for your patience and continued support. As you can probably ascertain the majority share of the cost of producing this epic discussion has fallen into me and a few very passionate original investors. The reasons for this difficulty is a long story and perhaps Ill share that in the interview. None the less, the effort to produce the illustrations necessary for the discussion are proceed...ing slowly but steady. We need over 135 illustrations to demonstrate the pictorial concept. There are also some props I’ve been slowly working on that would help with some of our examples such as Solomon’s Temple, underground and the various underground connections believed to have been discovered by the Templars. I’ve even looked into commissioning some CGI film clips to support the discussion. It’s these extraordinary items that will set this unique story apart from other documentary style discussions regarding the Templars. I didn’t want to use the same old ancient pictures of historical beliefs, I wanted to give them new life and depth. In the end, no matter how many years it takes we will have an epic discussion available for all those truly interested in this subject.     The Ninth TEMPLAR story is finally in the last steps of edits. I know Ive made you all wait through 4 complete rewrites, over ten years. Bear with me and just for future reference let me explain how this came about and why I decided to do each rewrite.
    I got this idea while in Europe on vacation with my family during 2006 in France and Germany. I found the idea while touring various castles. Came home and started researching why the Ninth member had been unrecorded in history. This led me into conversations with numerous medieval historian scholars across Europe.
    Finished First story with a full time editor and creative writing specialized coach Joel Corenman. Joel was recommended to me by my friend Producer Belle Avery (Meg 2018) (Before the Devil Knows You’re Dead 2007). Joel has awesome story development experience in screen plays that are focused upon adventure thrillers. Joel and I have remained close friends ever since. But I was troubled by there not being enough historical perspective. After-all there are several mysteries that literally founded the Templars and my gut told me we just weren’t there yet.
    So, I began the 2nd rewrite. This one was focused upon adding some historical flair and a touch of European perspective. After-all the story is mainly about a very powerful French/Swiss Royal family and their role clandestinely that is interwoven within the Knights Templar order. The two editors were Oxford Journalism experts, lovely ladies and they also gave a bit more femininity to our strong female characters. This version went a little too far on the Sci-Fi side for my final vibe. So, I remained troubled. But as is life I got really busy trying to reinvent my career as an economic provider due to the global recession and lost my writing patience for quite a while.
    Then through another meeting I met a man that was the consummate optimist that felt my work could be made into an independent film, sort of a docudrama. I have to admit the appeal was tantalizing. I fell under the spell of the idea and I spent the monies to legally establish the Knights Templar Movie (Documentary Film) offering. Now to do such a thing there are several things that separate offerings from amateurism to more professional approaches. First, I hired an attorney specializing in PPM’s (Private Placement Memorandums) so that my now hired executive producer could go out and raise private investor capital. I created a film production explaining the offering using a very professional on screen artist, and finally I negotiated a fee schedule with an emerging Director and paid for the financial review of the concept from a very well known studio market assessment firm in Beverly Hills. All of these elements came together wonderful, but the private investors could not be adequately found to support the original effort. I decided I needed to intervene and stop the bleeding. I rewrote a 60 minute documentary interview style that could be filmed less costly. This was done so that the few investors we had garnered could have something to tout that would give them something worthwhile for their much appreciated investment. That has become a paramount concern of mine. I have planned the interview and asked a veteran CNN commentator to be my hosted interviewer. Now I’m just waiting to have the funds to pay for the studio time and additional video footage for support. Once this is completed I’ll release it for download on ITunes and other pay for play distribution sources. So, this process seriously derailed my focus on my actual manuscript of the Ninth Templar.
    2015 rolls around and I began to rethink all the missing pieces and ran into by complete accident at one of my cigar lounge hangouts (Don Vicente’s) a fellow who knew a very famous producer. I was smoking and discussing questions related to the Templar mysteries with a group of fellow cigar patrons. This man said, I have a friend that specializes in book to film deals. He was heavily involved in a very famous Steven Spielberg production. The next thing you know he has the guy on his cell phone and we talked for a bit. Both of us having felt thrust into the conversation. In the end I felt his past performance of managing such a product to such enormous success was the right direction. So I will leave his name unnamed (nicknamed by Joel and I, Fuzzy Wuzzy). He began his orchestration of the third official rewrite. He wanted this to be more of a classical tale with string european overtures. We wrestled with probably 10 different editor tryouts, none passed his approval until I finally found one here in the USA that did. Now this is where it gets really interesting. I hired the editor and created a budget for him edit as we go back through with my written edits to the story, commencing with the Epilogue.
    Fuzzy loved this new 3rd version, but his constant meddling and tampering never produced a finished Act One. Meanwhile the editor has eaten up the entire rewrite budget and we haven’t finished Act One of a Four Act Book. I knew at this pace I was going to be at a minimum 400% to more likely 600% over budget. Financially I could not afford this situation or risk. So I confronted both Fuzzy and the Editor, both got very irritated and just felt I needed to solve the financial hardship they had caused. Neither saw their own participation as problematic or justification for them to change their own approach to MY project.
    So, I did solve the financial problem. I did three things. First, I fired the famous HOLLYWOOD literary agent and film producer (yes many people questioned my sanity including Laurie Holbrook) and then I fired the over-budget editor. The biggest issue I still had was while his editing was fine, it still did not emotionally satisfy my instincts for what my readers would desire. Third, I began interviewing through writing samples new editors and I enlisted Joel to give me his opinion on who best matched my own style and fulfilled my desire for a new 4th Rewrite.
    I had some unforeseen blessings along this journey it wasn’t all overcoming obstacles and frustrations dealing with the alleged literary community.
    Now there were things that I refer to as serendipity that have occurred along this journey. The first was in the beginning meeting some Templars that eventually brought me into their trust and shared some very interesting perspectives. This culminated in my being knighted in 2010 at West Point USMA in the Cadets Chapel. It was that trip and 3 day investiture that allowed my oldest son Ian to become exposed to the USMA. As some of you may know he went on to attend West Point and graduated from there in 2017.
    The second was information I received on the eve of my decision to finally set down the pen and let the story go to polish and format edit. I was finally ready to just move on with my life and not be so consumed with my underlying feeling of inadequacy with the story. Something just gnawed at my core about the story and my spirit did not allow me to stop dwelling on my feeling it just wasn’t my best work. To an Author you shouldn’t have this feeling pre-publishing.
    I received a tip from a colleague I had been acquainted with from the Holy Land who made me aware of some new research (former religious scholar from Hebrew University had released an interesting new theory on biblical characters). I read the research and realized it was the key to the missing links in the emotional satisfaction of my story. So at Thanksgiving last year while dining at a couple of close friends homes (Holbrook’s tend to graze and visit our friends on this occasion) I tested my new theory verbally as we allowed the sumptuous feast to settle in our belly’s. I could tell by the reaction I had finally landed on the missing elements and it would make my finale finally meet my own expectations. I had simultaneously met through the interviews a woman editor that had a great journalistic flair and a working background in the theatrical production industry before live audiences. Both a Joel and I liked her style and work product. So we set out to work through the 4th and most comprehensive rewrite. This current version has to completely rewrite the arch nemesis and use the information I had gained from the Hebrew University research. But it gave the story panache and mystery far beyond the previous versions. Even better for the reader was that Tracy my new editor encouraged me to develop the mysterious elements further and now the grip of curiosity I feel is sufficiently strong to make this new version a mega-page turner.
    Now as this comes out here is what’s next, prior to actual release to all of you as readers for your own consumption:
    I created a reading group document for use after publication at the suggestion of a colleague to help such groups have some talking points. The windfall of this effort is that it also created a plot check for me and my editors to make sure we had sufficiently introduced the clues to those discussion points in the manuscript. That is where we are right now, an internal proof read for tight developmental content and thus emotional reader satisfaction (something I gained great perspective on through my friendship with Author Maxwell Drake).
    Next I will incorporate any tweaks from this proof reading pass and then send this manuscript version to a grammatical editor for a polish edit and book formatting edit.
    Then I will begin the pre-publishing final push to book release. This will include 6 months of professional reviews by major literary sources that give written critiques (always a scary process) and several proofreaders drawn from my fan circle to read the author review copy (ARC) and give me their own feedback. Just as a sidebar note. Often readers and critics don’t agree on what is a great and entertaining story. However, I’m going to look at both perspectives to make sure I’m comfortable with the final version.
    Lastly, I’ll begin the pre-launch sale of the book by taking orders in advance so that on publishing day, we come out of the gate with the largest possible show of fan readership support. This is fine by most authors to improve the books chances of making the coveted Best Seller Lists. This type promotion garners the much needed media and publicity that can if done successfully propel the book to a financial success and hopefully finally a film screen play adaptation.
    With all this timeline in place, if you work backwards that would mean either a summer of 2019 launch for sale to the general public or a Christmas 2019 launch. It will really depend upon the proofreading outcomes and critiques. If there are problems discovered it might cause me to feel the need to address them through minor edits and could thus cause an unforeseen delay.
    Lastly, I want to thank all my friends, family and colleagues that have encouraged me and gave me the patience to stay the course along this journey.

    So I guess this means his "book" will not be out this year, since he is so busy as the CEO of a non-existent Rochester Alpine Private Equity Fund, except in his own mind. Who would have guessed it after his last major missive telling his heart-breaking story of how many re-writes he has had to make to his mission of telling the story of the 9th Templars.

    But SBM, you are too hard on him. He did study at the Royal Military Academy. He studied their curriculum brochure, and I have that on first hand knowledge through the janitor at the school, who's 3rd cousin is helping him with the final edits of his book that is now scheduled for release in 2025, they hope. There's a chance they will have to do a 5th re-write as it still lacks something....reality.

    I.
    The Securities and Exchange Commission (“Commission”) deems it appropriate that cease-and-desist proceedings be, and hereby are, instituted pursuant to Section 8A of the Securities Act of 1933 (“Securities Act”) and Section 21C of the Securities Exchange Act of 1934 (“Exchange Act”), against Joel Corenman (“Corenman” or “Respondent”).
    II.
    In anticipation of the institution of these proceedings, Respondent has submitted an Offer of Settlement (the “Offer”) which the Commission has determined to accept. Solely for the purpose of these proceedings and any other proceedings brought by or on behalf of the Commission, or to which the Commission is a party, and without admitting or denying the findings herein, except as to the Commission’s jurisdiction over him and the subject matter of these proceedings, which are admitted, and except as provided herein in Section V, Respondent consents to the entry of this Order Instituting Cease-and-Desist Proceedings Pursuant to Section 8A of the Securities Act of 1933 and Section 21C of the Securities Exchange Act of 1934, Making Findings, and Imposing a Cease-and-Desist Order (“Order”), as set forth below.

    III.
    On the basis of this Order and Respondent’s Offer, the Commission finds1:
    SUMMARY
    Between September 2012 and February 2014, Joel Corenman violated the anti-fraud and anti-touting provisions of the federal securities laws by publishing various articles describing issuer securities on investment websites that purported to be independent when, in fact, they were paid promotions.
    RESPONDENT
    1. Joel Corenman, 56, resides in Granada Hills, California. Corenman, a screen writer and former bar owner, worked as a paid writer for a stock promotion firm, Lidingo Holdings, LLC, publishing numerous articles on investment websites under the pseudonym “Glen S. Woods.”
    RELATED PARTY
    2. Lidingo Holdings, LLC was a Nevada limited liability company that was formed in 2011 and dissolved in 2014. Lidingo, which was owned and operated by Kamilla Bjorlin, provided promotional services to issuers that included the publication of over 400 articles describing securities on investment websites. The Commission has charged Lidingo and Bjorlin for their roles in the misconduct described in this Order and for other misconduct unrelated to Corenman.
    FACTS
    3. Between September 2012 and February 2014, Corenman published at least 30 articles on investment websites SeekingAlpha.com and SmallCapNetwork.com, under the pseudonym “Glen S. Woods.” Corenman’s articles positively described the securities of the following seven issuers that were clients of Lidingo, or another stock promotion firm affiliated with Lidingo: Advanced Medical Isotope Corporation, Assured Pharmacy, Inc., Enzo Biochem, Inc., Galena Biopharma, Inc., Lion Biotechnologies, Inc., NeoStem, Inc. (now Caladrius Biosciences, Inc.), and Stevia First Corporation (now Vitality Biopharma, Inc.). Lidingo paid Corenman at least $18,000 for these articles.
    4. Corenman did not disclose that these articles were paid-for promotions or the amount of the compensation he received. Moreover, in 25 articles, Corenman misrepresented

    that he was “not receiving compensation” for the article.2 These 25 articles were published on Seeking Alpha’s website. Corenman falsely stated that he was not receiving compensation because, at the time, Seeking Alpha had a policy that expressly prohibited compensated articles.
    Corenman’s misstatements regarding his compensation were material.
    5. Corenman’s articles included positive descriptions of publicly-traded stocks. Seeking Alpha held itself out as a “platform for investment research, with broad coverage of stocks, asset classes, ETFs and investment strategy” where “articles frequently move stocks, due to a large and influential readership which includes money managers, business leaders, journalists and bloggers.”
    VIOLATIONS
    6. As a result of the conduct described above, Corenman violated Securities Act Section 17(a) and Exchange Act Section 10(b) and Rule 10b-5 thereunder, which prohibit fraudulent conduct in the offer or sale of securities and in connection with the purchase or sale of securities.
    7. As a result of the conduct described above, Corenman violated Securities Act Section 17(b), which prohibits any person from publishing, giving publicity to, or circulating any communication that describes a security in exchange for direct or indirect consideration from an issuer, underwriter, or dealer without fully disclosing the past or prospective consideration and the amount.
    UNDERTAKING
    Respondent has undertaken to:
    In connection with this action and any related judicial or administrative proceeding or investigation commenced by the Commission or to which the Commission is a party, (i) appear and be interviewed by Commission staff at such times and places as the staff requests upon reasonable notice; (ii) accept service by mail, email, or facsimile transmission of notices or subpoenas issued by the Commission for documents or testimony at depositions, hearings, or trials, or in connection with any related investigation by Commission staff; (iii) appoint his attorney in these proceedings as agent to receive service of such notices and subpoenas; (iv) with respect to such notices and subpoenas, waive the territorial limits on service contained in Rule 45 of the Federal Rules of Civil Procedure and any applicable local rules, provided that the party requesting the testimony reimburses Respondent’s travel, lodging, and subsistence expenses at the

    then-prevailing U.S. Government per diem rates; and (v) consent to personal jurisdiction over Respondent in any United States District Court for purposes of enforcing any such subpoena.
    In determining whether to accept the Offer, the Commission has considered this undertaking.
    IV.
    In view of the foregoing, the Commission deems it appropriate to impose the sanctions agreed to in Respondent Corenman’s Offer.
    Accordingly, it is hereby ORDERED that:
    A. Pursuant to Section 8A of the Securities Act and 21C of the Exchange Act, Respondent Corenman cease and desist from committing or causing any violations and any future violations of Sections 17(a) and 17(b) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5 thereunder.
    B. Respondent Corenman shall pay disgorgement of $18,000, prejudgment interest of $1,543.74, and a civil monetary penalty in the amount of $25,000 in 12 installments to the Securities and Exchange Commission for transfer to the general fund of the United States Treasury, subject to Exchange Act Section 21F(g)(3), according to the following schedule: (1) $9,000 within 14 days of entry of the Order; (2) $3,232 on June 30, 2017; (3) $3,232 on September 30, 2017; (4) $3,232 on December 31, 2017; (5) $3,232 on March 31, 2018; (6) $3,232 on June 30, 2018; (7) $3,232 on September 30, 2018; (8) $3,232 on December 31, 2018; (9) $3,232 on March 31, 2019; (10) $3,232 on June 30, 2019; (11) $3,232 on September 30, 2019; and (12) $3,232 on December 31, 2019. Payments shall be deemed made on the date they are received by the Commission and shall be applied first to post-order interest, which accrues pursuant to SEC Rule of Practice 600 and 31 U.S.C. §3717 on any unpaid amounts due after 14 days of the entry of the Order. Prior to making the final payment set forth herein, Respondent Corenman shall contact the staff of the Commission for the amount due for the final payment, which shall include accrued interest.
    If Respondent Corenman fails to make any payment by the date agreed and/or in the amount agreed according to the schedule set forth above, all outstanding payments under the Order, including post-order interest, minus any payments made, shall become due and payable immediately at the discretion of the staff of the Commission.
    Payment must be made in one of the following ways:
    (1) Respondent may transmit payment electronically to the Commission, which will provide detailed ACH transfer/Fedwire instructions upon request;
    (2) Respondent may make direct payment from a bank account via Pay.gov through the SEC website at http://www.sec.gov/about/offices/ofm.htm; or

    (3) Respondent may pay by certified check, bank cashier’s check, or United States postal money order, made payable to the Securities and Exchange Commission and hand-delivered or mailed to:

    Payments by check or money order must be accompanied by a cover letter identifying Joel Corenman as a Respondent in these proceedings, and the file number of these proceedings; a copy of the cover letter and check or money order must be sent to Associate Director Melissa Hodgman, Division of Enforcement, Securities and Exchange Commission, 100 F St., NE, Washington, DC 20549.
    C. Amounts ordered to be paid as civil money penalties pursuant to this Order shall be treated as penalties paid to the government for all purposes, including all tax purposes. To preserve the deterrent effect of the civil penalty, Respondent agrees that in any Related Investor Action, he shall not argue that he is entitled to, nor shall he benefit by, offset or reduction of any award of compensatory damages by the amount of any part of Respondent’s payment of a civil penalty in this action (“Penalty Offset”). If the court in any Related Investor Action grants such a Penalty Offset, Respondent agrees that he shall, within 30 days after entry of a final order granting the Penalty Offset, notify the Commission's counsel in this action and pay the amount of the Penalty Offset to the Securities and Exchange Commission. Such a payment shall not be deemed an additional civil penalty and shall not be deemed to change the amount of the civil penalty imposed in this proceeding. For purposes of this paragraph, a “Related Investor Action” means a private damages action brought against Respondent by or on behalf of one or more investors based on substantially the same facts as alleged in the Order instituted by the Commission in this proceeding.

    It is further Ordered that, solely for purposes of exceptions to discharge set forth in Section 523 of the Bankruptcy Code, 11 U.S.C. §523, the findings in this Order are true and admitted by Respondent, and further, any debt for disgorgement, prejudgment interest, civil penalty or other amounts due by Respondent under this Order or any other judgment, order, consent order, decree or settlement agreement entered in connection with this proceeding, is a debt for the violation by Respondent of the federal securities laws or any regulation or order issued under such laws, as set forth in Section 523(a)(19) of the Bankruptcy Code, 11 U.S.C. §523(a)(19).

    SEC: Online Stock Analysts are Often on the Take - The DI Wire


    The Securities and Exchange Commission issued enforcement actions against 27 individuals and entities behind various alleged stock promotion schemes where public companies hired communications firms to generate publicity for their stocks by hiring writers who were being secretly compensated to publish favorable articles. More than 250 articles specifically included false statements that the writers had not been compensated by the companies they were writing about, the SEC alleges.....

    “If a company pays someone to publish or publicize articles about its stock, it must be disclosed to the investing public. These companies, promoters, and writers allegedly misled investors by disguising paid promotions as objective and independent analyses,” said Stephanie Avakian, acting director of the SEC’s Division of Enforcement.


    According to the SEC’s orders as well as a pair of complaints filed in federal district court, deceptive measures were often used to hide the true sources of the articles from investors. For example, one writer wrote under his own name as well as at least nine pseudonyms, including a persona he invented who claimed to be “an analyst and fund manager with almost 20 years of investment experience.” One of the stock promotion firms asked the writers it hired to sign non-disclosure agreements specifically preventing them from disclosing compensation they received.

    The SEC filed fraud charges against three public companies and seven stock promotion or communications firms as well as two company CEOs, six individuals at the firms, and nine writers. Of those charged, 17 have agreed to settlements that include disgorgement or penalties ranging from approximately $2,200 to nearly $3 million based on frequency and severity of their actions. The SEC’s litigation continues against 10 others.
    The defendants include:

    • Biopharmaceutical company Galena Biopharma (NASDAQ: GALE) and its then-CEO Mark Ahn
    • ImmunoCellular Therapeutics (NYSE: IMUC), and its former chief executive officer, Manish Singh
    • Lion Biotechnologies (NASDAQ: LBIO) and its former chief executive officer, Manish Singh
    • Stock promotion firm, Lidingo Holdings, with owner Kamilla Bjorlin and her associate Andrew Hodge
    • Stock promotion firm, CSIR Group, with owner Christine Petraglia and her associate Herina Ayot
    • Stock promotional firm, Lavos
    • Michael McCarthy, through three entities he owns: The DreamTeam Group, Mission Investor Relations, and QualityStocks
    • Investor relations firm, Dunedin, and its sole principal Edward Borrelli
    • Writer Thomas Meyer
    • Writer John Mylant
    • Writer Ciaran Thornton
    • Writer Brian Nichols
    • Writer Vincent Cassano
    • Writer Stephen Ramey
