I ran across this clown in the USI Tech Ponzi scam. At the moment I have too much navel lint accumulation to pull over all the scams he has already promoted. Apparently not satisfied with screwing people over in USI he's also pimping a Ponzi called Ormeus.

Comments on James and Grace start here.

Lockett of course stole the Cash Flow Quadrant right from Robert Kiyosaki. What you really should be asking why would anyone be parroting the author of Fake Dad Never Happened Dad?

In some ways it's hard to comprehend in 2017 people still fall for Ponzi scams. If you put $1000 into one of these 1% per day deals it should be pretty obvious you are being paid back 1% of your own money daily. If you somehow manage to take out more than said $1,000 those "profits" are being stolen from later investors. Payment proofs are meaningless, which is why when recruiting dried up and the scams collapsed Lockett had to hide his videos.

Equally obvious might also include the question why self professed astute people that magically sniff out "passive income opportunities" have to spend so much time on social media telling you about it.

Cryp Trade Capital Review: 361% annual crypto trading ROI? (http://behindmlm.com/mlm-reviews/cryp-trade-capital-review-361-annual-crypto-trading-roi/)

What are some Ponzi scheme "red flags"?

High investment returns with little or no risk. Every investment carries some degree of risk, and investments yielding higher returns typically involve more risk. Be highly suspicious of any "guaranteed" investment opportunity.

Overly consistent returns. Investment values tend to go up and down over time, especially those offering potentially high returns. Be suspect of an investment that continues to generate regular, positive returns regardless of overall market conditions.

Unregistered investments. Ponzi schemes typically involve investments that have not been registered with the SEC or with state regulators. Registration is important because it provides investors with access to key information about the company's management, products, services, and finances.

Unlicensed sellers. Federal and state securities laws require investment professionals and their firms to be licensed or registered. Most Ponzi schemes involve unlicensed individuals or unregistered firms.

Secretive and/or complex strategies. Avoiding investments you do not understand, or for which you cannot get complete information, is a good rule of thumb.

Issues with paperwork. Do not accept excuses regarding why you cannot review information about an investment in writing. Also, account statement errors and inconsistencies may be signs that funds are not being invested as promised.

Difficulty receiving payments. Be suspicious if you do not receive a payment or have difficulty cashing out your investment. Keep in mind that Ponzi scheme promoters routinely encourage participants to "roll over" investments and sometimes promise returns offering even higher returns on the amount rolled over.

If you put $1000 into one of these 1% per day deals it should be pretty obvious you are being paid back 1% of your own money daily.

Which also means in real terms, they have your money for 100 days before you start to see a profit (on your screen)

It doesn't become an ACTUAL profit if it's in your bank or payment processor

IOW, if it isn't in your hand, it doesn't exist.

If you really want to see what you are dealing with in a guy like Lockett create a 2 YouTube accounts, one to praise and one to question. See how long James will have a discussion with you before hiding/deleting your "negative" comments. You will need the "praise" account to see your other comments have been hidden/deleted. Then witness how much quality time he will spend on you if he thinks you are a fish ready to be hooked.

What should be obvious is the message has been rebuffed and Lockett is the one playing dirty politics to keep his gravy train chugging. As for attacking the messenger, if he/she is has and continues to deliver false narratives that are breaking the law and costing people money so be it. Let Unca Ribshaw save you a lot of pain, if a company has a get richy sounding name and is jumping on a hot trend like I dunno bitcoin - save your money. ISN Coins Review: Autoship + numismatic coins (http://behindmlm.com/companies/isn-coins-review-autoship-numismatic-coins/) is suddenly in the crypto space as Mintbuilder. Dare I say shocking...

Let's start by saying if you are buying "numismatic" coins as opposed to purchases made on "melt value" expect to be ripped off. Unless you really know what you're doing, be leery of anyone advising you otherwise.

https://www.scambusters.org/rarecoinscams.html

Next I would expect a real good why answer from some like Lockett claiming you should have 10% of your portfolio in gold or silver. With two exceptions gold and silver have been dead money for the past 40 years.

20841

20842

If you decide you want to invest in gold/silver the next logical question is if there are smarter ways to buy it than MLM Autoship or a boiler room operation?

Lastly there's this...

Some schemes may purport to sell a product, but they often simply use the product to hide their pyramid structure. There are two tell-tale signs that a product is simply being used to disguise a pyramid scheme: inventory loading and a lack of retail sales

Lockett is going to give himself a stroke being so huffy. Let me preface this by saying there are plenty of examples of Ponzi operators that had legit business ventures in conjunction with the scams they were perpetrating. Bernie Madoff comes to mind as he was running a market making firm in addition to his scheme. One suspicion in the financial community was that he was front running trades to fund his client accounts, if only that had been the case.

Rory Highside • 12 hours ago

It is proof SOMEBODY is mining, who though, nobody knows. https://etherscan.io/stat/miner?range=7&blocktype=blocks You guys can see here account 0x625a083bee9e6f0fd756e79880b26b955826702c is only .63% of global hashrate, a fair stretch from the some 2.5-3% they claimed right?

Now if you want to actually dig deeper, you can see this account has been mining for 225 days and has only ever sent 1 eth out. How are they paying members? Also, over 225 days it has only generated $8,900,000. That is only enough to pay each member several cents. https://etherscan.io/txs

They paid some backyard mining operation to change their name on the pools.. Tell me how this is proof of anything except more fraud?

https://www.etherchain.org/account/625a083bee9e6f0fd756e79880b26b955826702c#comments

Let's conclude this latest ruse with the observation that without independently audited financial statements showing total assets and liabilities any mining number is meaningless. I've seen claims that there has been over $300M pumped into USI Tech, how does an alleged $8M even begin to cover that nut?

Invest $1010-$5000; you will get 40% every month for 239 days in addition to 23.9% of your overall ROI which is a bonus.

However, such a bright description didn’t fool some of the experts. For example, CoinCodex decided to distance itself from this project, delist BCC from the top 100 listings and issue a warning on the coin overview page.

Their Head of the content division, Marko Štokelj, stated to Coinidol:

“Bitconnect employs a number of dubious methods in order to operate and promote its business. The business model outlined by the company is economically unsustainable with the current level of returns unable to be validated by any legally known investment system. As already stated, the Bitconnect project also generates a large amount of negative feedback from within the cryptocurrency community with accusations that the project is actually a “scam” or “Ponzi scheme” being actively discussed.”

https://www.youtube.com/watch?v=-CzUaqhcuDw

Let’s start with some general background. The general rule in the United States is that if you sell shares of stock in your company, you either need to register the offering with the Securities and Exchange Commission, which is a very significant undertaking in terms of time and resources, or your sale of stock must fall within a specified exemption from registration.

Remember, too, that the $1,000,000 limit applies to all sales within a 12 month period, so check with your counsel to make sure that you are considering all of the issuances that would apply.

One important point to note is that all securities offerings are still subject to the general anti-fraud provisions of the Exchange Act of 1934, which means that all documents or other information actually provided to the prospective investor must be accurate and not misleading, and may not omit any information that would render them misleading in any material respect.

Because of the limitations described above, many companies find that raising money from non-accredited investors would often result in incremental professional fees as high or higher than the amount of money they would raise from these investors. As a result, the vast majority of early-stage companies we work with exclude all non-accredited investors from their fundraising.

To start, if someone mentions a "compensation plan" and "passive/residual income" I don't believe you need to listen any further. What follows is certain to be a Pyramid scam. Highlighting the obvious again, internet marketers spending all their waking hours recruiting others are passively involved in nothing. If they can't do it, you further down the food chain stand even less of a chance. Simple math people.

Somebody has to sell the stuff. Locket isn't talking about selling you coins, he's talking about getting youand the others to join an autoship. Those folks in turn will have to get others who get others who get others, sooner or later they're aren't enough people left in the world. With 2 year attrition rates in MLM approaching 100% passive income in that arena has to be one of the biggest lies every told.

Lastest again, about Numesmatic coins. Holding precious metals has been dead enough money for decades at a clip, for those that overpaid out of the gate-disaster.

LET’S DO THE UGLY NUMBERS

Initial investment amount in 1981

$410,605

What you could have earned at 5% interest 1981-2001

$678,852

Giving you a total holding value in 2001 of

$1,089,457

Value of the coin collection in 2001

$534,040

Lost opportunity cost at 5% in owning these coins for 20 years

$554,417

Or at 8% you could have turned your money into

$1,913,788

That’s one expensive hobby, isn’t it?

No one here was impressed with http://www.realscam.com/f8/karatbars-invest-gold-karatbars-com-3278/ either, so there's that.

Lie #10: MLM is not a pyramid scheme because products are sold.

Truth: The sale of products is in no way a protection from anti-pyramid scheme statutes or unfair trade practices set forth in federal and state law. MLMs that sell useful, quality products have been successfully prosecuted under anti-pyramid scheme laws by state and federal officials. MLM is a legal form of business only under certain rigid conditions set forth by the FTC and state Attorneys General. Many MLMs are currently in gross violation of these guidelines and operate only because they have not been prosecuted. Recent court rulings are using a 70% rule to determine an MLM's legality. At least 70% of all goods sold by the MLM company must be purchased by non-distributors. This standard would place most MLM companies outside the law. The largest of all MLMs acknowledges that only 18% of its sales are made to non-distributors. https://www.falseprofits.com/MLM%20Lies.html

For me in business there is very much a "value added" concept which is completely absent in endless recruiting gimmicks like ISN. The price of silver has only ticked down slightly from the time Lockett shot this video. If I was going to buy a 5oz silver coin I wouldn't pay much more than the melt value of (5x$16.15) or $80.75. I certainly wouldn't pay the first price I found of $157 much less the ISN price of $198. The $41 vig ISN is charging goes straight into the pockets of people like James and the $117 premium over melt value will in all likelihood never be recovered.

July 19th silver price $16.42 per oz.
Dec 15th silver price $16.15 per oz.

Hey, it's your money if you think Lockett is looking out for you and I'm just a hater have at it. If you think the world is filled with enough gullible people lacking access to Google, then I suppose ISN is an opportunity for the ages. But attorneys and the haters....

As per the BCSC’s warning, USI-Tech

is not registered to trade in, or advise on, securities or exchange contracts in BC.

We urge BC residents to exercise caution when dealing with firms that are not registered to trade or advise in BC.

USI-Tech’s business model sees the company advertises a 70 EUR ROI on 50 EUR investments.

Despite clearly offering a security, USI-Tech has not registered itself with a securities regulator in any jurisdiction it operates.

The offering of unregistered securities is illegal in regulated financial markets the world over.

Pandex – Compensation Plan

The compensation plan is simple and follows a unilevel structure. The investment are made on the promise of ROIs that are paid out through downline affiliates.

SGX – You need to invest $100 or more to receive 17.01% monthly ROI
Lime – You need to invest $500 or more to receive 26.67% monthly ROI
NASDAQ – You need to invest $1000 or more to receive 32.76% monthly ROI
Cryptocurrency – You need to invest $5000 or more to receive 42% monthly ROI

If it wasn’t already obvious, Japanese billionaires aren’t taking time out from running their already sucessful companies, to launch Ponzi schemes fronted by nervous east European actors.

According to the Securities Board that’s baloney, and the Securities Commissioner is having none of it.

The Federal Trade Commission, however, has no role in regulating registration of the mining investment as a security in Texas.

The State Securities Board regulates the registration of the mining investment as a security in Texas, the registration of dealers and agents offering and selling the product, and the disclosure of material facts to investors.

Despite claims that USI-Tech’s owners are “transparent”, the Securities Board points out that the company is anything but.

Disclosure violations include:

Information about the facilities used to mine bitcoins, the costs of mining bitcoins, and whether they have successfully mined bitcoins;
The terms of the contracts and an explanation of USI-Tech’s “non-exclusive interest” in mining contracts; and
Information about whether the company’s financial condition is strong enough to provide a 1% daily return.

The Securities Board also calls out USI-Tech’s “deceptive” legal opinion.

Sales agents are attempting to deceive the public by claiming that USI-Tech has a “binding legal opinion” from a law firm stating the company is “a legal business in good standing.”

The only "industry" with respect to USI Tech and other %daily opportunities offered via endless chain recruiting is called Ponzi. This sort of ruse has been illegal for 100+ years, has zero to to with Cryptocurrency. Instead of running to Facebook groups for mommy hand and a warm binkie perhaps people should spend time exploring the law as it relates to the warnings now available.

Under the Howey Test, a transaction is an investment contract if:

It is an investment of money
There is an expectation of profits from the investment
The investment of money is in a common enterprise
Any profit comes from the efforts of a promoter or third party

Substance Over Form

In deciding Howey, the Supreme Court created a test that looks at an investment's substance, rather than its form, as the determining factor for whether it is a security. Even if an investment is not labeled a "stock" or "bond," it may very well be a security under the law, meaning that registration and disclosure requirements apply. After the creation of the Howey Test, some promoters masqueraded securities to try and escape registration requirements (such as by calling an offer of securities an interest in a general partnership). To deal with these charades, courts look at the economic realities behind an investment scheme, rather than at its name or form, to determine whether it is a security.

Lockett would like you to take a lot of things on spec. Such as ignoring the fact that it takes more energy to create a magnet than you can pull back out of said magnet.

21110

If you do the calculation, the energy that was put in in order to magnetize it, is far more than the energy you finally get out of it. In that sense, it isn't even a particularly efficient storage device.

https://physics.stackexchange.com/questions/67107/from-where-do-the-permanent-magnets-get-energy-from

A keyword often used by those who think they have found the secret to free energy is: over-unity. What they mean by this is that the ratio of the energy output to the energy input is greater than 1 (more energy comes out than goes in). It sounds great, but the physics is poor. When making energy measurements, there are a number of errors that can be made, often unwittingly, that falsely indicate over-unity is possible. In reality, it isn't.

Is there free energy in magnets? (http://www.coolmagnetman.com/magfree.htm)

More of the same for those who think free lunches are served up daily on Youtube

21111

More or less... computer chips produce heat, so sure, it is theoretically possible. First you should know that, compared to a heat pump, a miner's efficiency is zero: heat is the byproduct, not the main goal, so it would take much more energy for the same amount of heating than a decent electric heat pump. But since you are generating Bitcoin in the process, we hope it pays off (wouldn't cut down your bills, would increase it instead, but you would have Bitcoins to pay for the increase, hopefully).

The management of the setup and the economics would be hard: an AntMiner S9 consumes 1200W (and consequentially, can heat water by this same amount). You would have to replace the casing and air cooling system with a kind of water cooling system, using water from your hot water tank as cooling fluid.

Then there is the problem: if you water gets to the desired hot temperature, it won't serve anymore as a good cooling fluid. Then you have two options: if you live in a place where bitcoin mining pays off the electric bill, you can mechanically switch the cooling fluid from the hot water tank to an alternative water circuit, this one designed to dissipate the excess heat (an ordinary PC water cooler radiator, for instance), so that you won't have shut down your miner.

On the other hand, if bitcoin mining is economically unsustainable per se, you would have to shut down the miner when the water is hot. In this case, you would have to be sure that the cost of operating the miner minus the bitcoin it produces is lower than operating a regular heat pump (which is more energy efficient, as I said). Not to mention the cost of equipment and installation and R&D to get everything right is much higher with a miner than with a heat pump designed for this purpose

https://bitcoin.stackexchange.com/questions/59760/can-you-make-a-water-heater-by-mining-bitcoin

My understanding from the net is that James K. Lockett is licensed to practice law somewhere. Considering how easily any bar association could get wind of his excursion (excursions - I forgot Gladiacoin (http://www.realscam.com/f8/gladiacoin-major-ponzi-scam-4812/)) into promoting, brokering and profiting from illegal, unlicensed and fraudulent securities ... would it be logical to conclude that he places no value on his ability to practice law?

Extraordinary Termination of Distributor Agreement (Distributor ID: 1055181)
Dear Customer,
You are active for our company in the US and/or Canada as a distributor offering our services. We were utterly dismayed to learn that a large number of our sales partners extensively advertise our services on their own websites as well as on social media in a manner which is a breach of contract as well as illegal, and which gives the appearance that our service portfolio violates both US and Canadian law. Despite the measures which we have already initiated, this behavior has even intensified in recent weeks and months. This has already resulted in actions by the respective authorities against various distributors, as well as the first preliminary injunctions in response to this advertising behavior.

The initiation of the above-mentioned official action and the court-ordered preliminary injunctions has also inevitably placed our company in a legally problematic situation. This is due to the fact that, in the event of any doubt, it cannot be ruled out that this illegal advertising by the distributors involved will cause the relevant authorities to suspect that our company itself is promoting this type of advertising activity, or at least tolerates it. This type of alarming view by the authorities would lead to unforeseeable damage for our company as well as our sales partners who observe applicable laws. We cannot subject our company or our reputable sales partners to this danger.

Consequently, we have decided to immediately discontinue our business activities as well as our sales in the US and Canada. Unfortunately, this also has a direct consequence for you as a sales partner since the cessation of our marketing operations means that we are forced to immediately terminate our contractual relationship with you.

Although we deeply regret this step both on a business and a personal level, effective immediately we hereby summarily cancel the existing contractual relationship with you as a distributor,

or, alternatively, hereby notify you of ordinary termination as of the next possible date.

In light of the above-announced termination, effective immediately you may no longer market goods, software or other services to our customers, and we will unfortunately no longer be able to accept applications for distributor agreements from third parties from you. In order not to jeopardize the termination of our contractual cooperation, for security reasons your sales partner account in our back office will also immediately be blocked.

Naturally, we will be paying out all commissions earned up to today's date. We expect to check your remaining unpaid commissions within the next 2 weeks, and as part of this process we will also check/offset/reclaim commission claims of various distribution partners for unlawful double payments/rebuys as well as for unlawful payments due to double-accounts (multiple registrations). Once we have concluded our audit and have determined commission claims, we will remit them to you taking into account the requirements of Section 14 of our Distributor Terms and Conditions. With respect to those sales partners whose illegal advertising behavior is responsible for this current situation, we reserve the right to assert claims for damages, which we will also enforce by offsetting them against commission claims.

We would also like to point out that, as a result of the above termination, effective immediately you must destroy and/or take offline all websites, landing pages, social media sites/chat groups (e.g., Facebook, YouTube, Instagram, WhatsApp, Telegram pp.) or other online or offline advertising materials relating to direct sales of our goods, software, other services and/or our direct sales concept. At the same time, you are obligated to immediately discontinue or cancel all current advertising and/or planned advertising, promotional events or other promotional efforts for our company. In addition, you must immediately terminate or discontinue the use of any registered internet domains, social media accounts, WhatsApp groups or comparable tools, as well as delete the associated login info and/or registrations inasfar as these internet domains, social media accounts, WhatsApp Groups or similar tools include our name, trademarks, product names or other characteristics of our company.

Compliance with the foregoing is also very important with respect to your own interests, e.g. in order to still any concerns on your part with respect to warnings or other actions for misleading or unlawful advertising by third parties or any official investigation of you, given that we have terminated our direct sales in the United States and Canada.

If you currently also use our products, software or other services as a customer, we will be promptly informing you separately regarding the continuation of our customer relationship with you.

We would like to conclude by thanking you for your commitment to our company and for your sales efforts. We extremely regret these recent negative developments caused by the behavior of dubious sales partners and wish you all the best professionally and personally.

Best regards

USI-TECH Management

For those of you worried about what James and Grace Lockett and their Global Turbo Team are going to do now that USI-Tech meal ticket has hit the skids, worry not.

The Locketts have been hard at work removing any evidence of their fraudulent activity.

Explanation of United States/Canada Changes
=================================

Dear partners,

Our decision for the US and Canada was not easy for us as a company. From the beginning, we have fought for this market with all of the opportunities available to us despite all opposition.

We have frequently denounced the misconduct of many partners in the US and Canada regarding the misrepresentation of our products and our company, and we have pointed out the risks and possible consequences many times.

We have threatened partners with exclusion due to their misconduct, but this has not led to changes in behavior. On the contrary, the portrayals of our business have become increasingly negligent.

This triggered increasingly difficult disputes with regulatory authorities.

In the end, our advisors urged us to discontinue market access for our partners in the US and Canada to avoid more serious damage to the company.

All further action in the US and Canada is now in the hands of our legal advisors. All subsequent steps will only be carried out on the basis of legally-compliant instructions from our advisors. Of course, we will provide information on timekeeping in any case.

Regrettably, investigations have found many abuses regarding double accounts and false accounts that have been used for unlawful payouts. We will also prosecute these abuses to the fullest extent of the law.

Until these investigations are completed, we are barred from making any payments to prevent additional abuses.

Again, we would like to point out that all misconduct worldwide with respect to misrepresentations or potential manipulation of our system will be punished with immediate expulsion from the company.

We look forward to continuing our successful cooperation with all reputable business partners and customers so that we can continue our unique success story.

Best regards,

Management

... the misconduct of many partners in the US and Canada regarding the misrepresentation of our products and our company ...

Isn't all of this squawking by the company to blame "the partners" kind of amusing when they have never once specifically defined what any of the suckers or promoters were doing other than saying that if you gave USI real money, you would get that plus 40% back in "around" 20 weeks and they would pay you a 10% commision for "introducing other investors"?

USI was bleating that claim all over the place themselves.
In the real world, complying with USA and Canada regulations is a much simpler business decision than pissing off 45% of your customer base.
Oh wait ... they already claimed they were compliant.
Scammers ... they know there are people who just eat this sh*t right up.

Which makes the below seem rather insincere. I can't even stand to read the whole thing since horseshit stings my eyes. First of all USI Tech was a Ponzi scheme, period. Payments ceasing was entirely predictable, the only variable was the when. Second being an unregistered security has nothing to do with Bitcoin. What Is the Howey Test? - FindLaw (http://consumer.findlaw.com/securities-law/what-is-the-howey-test.html) which has been around since the 40s determines what a security is.

Whatever though read if you want, you won't ever see your money again and if you don't report the Locketts they will slink on to their next scam. Well James anyhow, I'm not convinced Grace is anything more than a ventriloquist's doll.

This is an important post we made in our own group earlier:

*******

To all our valued Team Members

We, Grace and James, are very aware that many of you are seeking answers about USI-Tech and also wanting to know where we stand with USI-Tech in light of all the events that have occurred, particularly in recent times.

We announced to our team following the January 5, 2018 unilateral termination by USI-Tech of the affiliates in the USA and Canada that we had no choice but to cease promoting the business. We understand that many in our team have already moved to new opportunities which allow participation from the USA and Canada, and we respect their choices. Now that the USI BTC 2.0 system has been launched, and now that USI-Tech has finally started to re-pay people terminated in the USA and Canada, as well as everyone else reset on February 24, 2018, we want to update everyone and share our thoughts.

When we joined USI-Tech in the second quarter of 2017, our involvement was based on an understanding that USI-Tech represented a “flight to quality” based upon known ownership, transparency, and attention to legal and regulatory issues, as well as being a well-run and viable business in the cryptocurrency space. For ourselves, as well as others with whom we shared the business, everyone was aware that cryptocurrency is volatile and new, full of risks as well as rewards. For us and others, it was clearly stated that nobody should put into such a venture more than they could afford to lose, people must make decisions based on their own resources and their own risk profile, and people should take responsibility for their actions and decisions. As business professionals, we also stressed that people should promote USI-Tech in a professional, compliant and legal way to not put the business or themselves at risk.

Unfortunately in the absence of quality and consistent updates from USI-Tech Management, a lot of misinformation and negativity began to rapidly spread on websites, chat groups and in videos. In the face of considerable abuse, misunderstanding and even personal threats, we did our best to seek answers and explain them with clarity; however the information issued by USI was limited and inconsistent and this created frustration for both our team, and ourselves.

It is important that you understand there were some significant additional factors beyond just the cessation of the USA and Canada business that influenced our decision. These points may be helpful to members of our team.

1. On December 20, 2017, the State of Texas securities enforcement authorities hit USI-Tech and several USI-Tech members with a cease-and-desist order, and soon thereafter several other U.S. states and Canadian provinces began similar proceedings, which appear still to be underway. Some of those actions resulted from allegations of improper and misleading marketing and promotion, and some of them related simply to the assertion that USI’s BTC Pack 1.0 was a security and that USI-Tech and its affiliates were offering an unregistered security and the affiliates were not registered themselves to offer securities. We found this latter type of action to be surprising, for two main reasons:

a. First, there was not (and still is not) any clear announcement from U.S. or Canadian SEC authorities that a Bitcoin product purchased with Bitcoin is a security. Indeed, some parts of the government say Bitcoin is a commodity, some say it is property, some say it is a store of value, some say it is more like a currency, some say it is too early to determine, etc. Unless and until the government clearly states the applicable rules for cryptocurrency, it is not fair or appropriate to accuse individuals of violating rules that have not been confirmed. Taking enforcement actions in the absence of any clear guidelines in the marketplace is manifestly unfair. This is contrary to good legal and regulatory policy, violates due process of law, and is arbitrary. While we understand the need to address any misleading advertising, if securities authorities believe that cryptocurrency trading and/or mining per se is subject to securities regulation in some forms, advance notice of the same should have been published. It was not.

b. Second, as it relates to USI-Tech, the company has always said that its legal counsel’s opinion was BTC packs were the purchase of a product and not a security, and that because the BTC Packs were purchased themselves with bitcoin, this took the BTC Pack product outside the realm of a security. These assertions were repeated at the official USI-Tech USA launch in August 2017 when USI-Tech’s CEO Horst Jicha and another person presented the legal opinion of lawyers Hart David Carson. We were told by USI-Tech that their SEC/FTC lawyers (Hart, David, Carson) had reviewed the two products of USI-Tech (the forex software, and the BTC packs) and had determined that they were fully compliant with all relevant U.S. laws and that they were not covered by SEC rules, given that they involved purchase of a product. All USI-Tech affiliates have had a good faith belief in this fact, particularly because the event was videoed and widely distributed together with excerpts from the USI lawyer’s legal opinion.

However, that was the past. It is clear that the regulatory environment has changed in 2018. Now USI-Tech is embarking on a new era with BTC Pack 2.0. We have sought advice and counsel on these questions, and the consensus is that USI’s BTC Pack 2.0 is likely to be treated by various securities authorities in the same way as they viewed USI’s BTC Pack 1.0. Accordingly, we will not be able to participate. For the sake of clarity for our team, if you are in the USA, Canada or any other jurisdiction taking the same or similar view on these securities law issues, even if those securities regulatory authorities ultimately are proven wrong by courts, you may face a risk now and you should get your own independent advice.

2. Since the Mallorca event in October 2017, much of our time has been absorbed away from our primary role of marketing and has been expended in providing support and in fire-fighting roles. This commenced with USI-Tech CEO Horst Jicha’s erroneous Bitfury comments, and continued with the company’s mismanaged system migration, ineffectual and ever-changing support, poor communications, secrecy regarding mining, clumsy handling of the TechCoin, and more. Ultimate responsibility for the business operations and success or otherwise of a company rest with the CEO. In January, when the CEO publically attacked USA leaders and played the blame game rather than taking responsibility for the position the company was in, without knowing details we clearly understood then that USI had serious issues and that the CEO was not facing them in an adequately professional manner. This leadership vacuum, combined with the January 2018 unannounced termination of all USA and Canada affiliates, lead us then to conclude that we could not promote the business. Events since then have only underlined that we cannot continue to be involved in USI-Tech.

3. We have found the lack of communications, the lack of transparency, the lack of accountability, and the speed at which the audit and migration of BTC Packs 1.0 has occurred to be unacceptably slow. People had worked hard to build businesses, and - like us - people had purchased BTC Packs on the basis of the contractual promise of return. The company and CEO communications have appeared totally tone deaf to this. The Tech-Coin story and timeline continues to change without explanation. For us, these things are too much. They are not acceptable.

We appreciate that it is necessary for USI-Tech to continue for members and affiliates to have any chance of receiving their BTC inputs back. We do not wish to damage the business. Yet in the current legal and regulatory environment with USI’s current business model and products, considering that our team in the US and Canada was terminated with no notice and with a flimsy explanation, and given the law and facts outlined above, we trust you understand it is impossible for us to continue to support either USI Management or promotion of USI-Tech Products.

We strongly value, trust and respect you individually. We apologize for the pain and frustration that USI-Tech has brought to all our lives. It is astonishing how quickly the business has deteriorated. What and how it has unfolded has been a huge shock and disappointment to us. We are determined to work towards a positive future. We encourage you to re-connect with us so that we can move forward together and make the very best out of the opportunities that abound in this new crypto world.

Best wishes to all of you.

James and Grace Lockett destroyed families, some forever while profiting from this scam. The haters didn't do that, they did. People that had the good sense to listen to us aren't getting divorced, explaining to the kids what foreclosure means, or contemplating suicide. Perhaps the most disgusting part of the video is Lockett's risk disclosure at the beginning. Where was that **** when he was roping investors?

A close second on the disgustOmeter is the notion that there will ever be value in TechCoin much less USI investors being made whole.

James and Grace are the typical Ponzi pimps. Amazing isn't it that when they are reviewing their "great opportunities" they never can find all the problems and outright lies the admins tell about their program. They only find out about it when it stops paying or promises are not kept and payments are delayed. Then they were lied to just like everyone else, they were duped, etc., mantra begins. In the beginning they brag about how they met the owners/admins and they were such great business people with a great vision, and gush all over them how honest and full of integrity they are. Then the crap hits the fan, and their memory faults them and they can't remember ever praising them. They forget that their videos live on, as well as their FB page posts. They can purge all of them all they want, but they forget that others have already taken screenshots and moved their video to a different server so it is available if needed.

But magically James and Grace have found a new opportunity that just gushes with promise and legitimacy and you will regret it if you don't jump onboard. And the song and dance begins all over again. The sad part is that too many of their followers believe it and sign up never realizing that James and Grace have no clue what they are doing as they have zero knowledge about investments or legitimate online programs. But they know how to BS their way to stolen riches stealing OPM. They know exactly what they are doing and could care less as long as they get theirs. Wonder how long before they make China their permanent home trying to avoid criminal charges?

Time for Lockett to say something like "Ethan calls everything a scam" leaving out Vanderbuilt's track record for getting it right of course.

"The Kryptorithm scam works like this:

You purchase a $1000 to $3000 licence from them.
You invest .25BTC or more with them.
You pay a monthly 12% management fee.
Each month you can take your invested BTC out.

They offer no proof that the Kryptorithm algorithm can produce any kind of results in the long term. It is my opinion, this is nothing but a Ponzi scheme."

I loved the statement from the link that said, and I quote: "If the SEC Compliance issues are resolved, this would be a good fit with our crypto trading business." There will never be a resolution between the SEC and a matrix program. Simply the SEC says all Matrix programs are illegal. I don't see them changing their minds anytime soon.

But of course in the meantime they will be pushing for people to join for free and then magically when this launches the announcement will be the issue has been resolved with the SEC so people will join. Then after a short while either the authorities close in and shut it down or they run with the money because they lied the issue with the SEC had been resolved. The same pig with a new dress and heels with purple lipstick.

Matrix A.K.A Pyramid Scam.

How Pyramid Schemes Operate

Let's look at how a pyramid scheme operates from three points of view: the potential investor, the promoter or con artist, and the victim. Many pyramid schemes will present a payout formula or matrix much like this one:

Taking advice from James and Grace on how to bounce back from online business disaster is like taking financial advice from Bernie Madoff, Paul Burks, Charles Scoville, and Mike Deese.

It would almost be worth taking a look and then asking them to explain how all their other real ldeal business opportunities failed so miserably after their so-called due diligence said they were the real deal.

I had just wondered what they were up to now, and low and behold lrm provides the answer. Hopefully they have lost the confidence of all those they got into their last Ponzi de Jour and they won't fall for this malarkey.
